Item 2.03. Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

On July 13, 2022, Ford Motor Company (“Ford”), SK On Co., Ltd. (“SK On”), and SK Battery America, Inc. (a wholly owned subsidiary of SK On) closed the creation of BlueOval SK, LLC, a joint venture company that will build and operate an electric vehicle (“EV”) battery plant in Tennessee and two EV battery plants in Kentucky. The joint venture will supply EV batteries to Ford and its affiliates. Ford and SK Battery America, Inc. hold equal ownership interests in BlueOval SK, LLC, and the joint venture company will be a consolidated subsidiary of SK On. As part of the closing, the parties signed agreements pursuant to which Ford will be required to contribute up to $6.6 billion in capital to BlueOval SK, LLC over a five-year period ending in 2026 (subject to any adjustments agreed to by the parties).
