On May 11, 2020, SVB Financial Group (the “Company”) announced that its Board of Directors had appointed Alison Davis as a director of the Company and its wholly owned subsidiary, Silicon Valley Bank.
Ms. Davis has entered into the Company’s standard form of Indemnification Agreement for directors, and in connection with her service as a director, she will be entitled to compensation in accordance with the Company’s compensation practices, subject to proration to reflect the commencement date of her service. The Company’s director compensation practices are described under the caption “Compensation for Directors” in the Company’s definitive proxy statement filed on March 9, 2020. There are no arrangements or understandings between Ms. Davis and any other persons pursuant to which Ms. Davis was appointed as a director. There are no transactions in which Ms. Davis has an interest requiring disclosure under Item 404(a) of Regulation S-K.

SANTA CLARA, Calif. –– May 11, 2020 —SVB Financial Group (NASDAQ: SIVB) today announced the appointment of Alison Davis, Co-Founder and Managing Partner of Fifth Era and a seasoned investor, to its board of directors, effective May 11, 2020. SVB Financial Group is the parent company of Silicon Valley Bank (SVB), the bank of the world’s most innovative companies and their investors. Davis will also serve on the board of directors of Silicon Valley Bank.

She also held leadership roles at A.T. Kearney and McKinsey & Company.

As an experienced director, Davis currently serves on the boards of Fiserv, Ooma and Collibra, and chairs the advisory board of Blockchain Capital. She is a former director of Royal Bank of Scotland, Unisys, Diamond Foods, First Data Corporation and several other public and private companies.

Davis earned her Bachelor and Master of Arts degrees in economics from the University of Cambridge. She earned her Master of Business Administration from the Stanford University Graduate School of Business.
