Item 8.01 Other Events.

On September 28, 2022, City Holding Company (“the Company”) issued a news release, attached as Exhibit 99.1, announcing the declaration of a 65 cents per common share cash dividend for shareholders of record as of October 14, 2022, payable on October 31, 2022. The dividend represents a 8.3% increase from the 60 cents per share cash dividend paid in the second quarter of 2022. Furnished as Exhibit 99.1 and incorporated herein by reference is the news release issued by the Company announcing its increase in dividends payable to common shareholders.

City Holding Company Increases Quarterly
Dividend On Common Shares

    Charleston, West Virginia – City Holding Company, “the Company” (NASDAQ: CHCO), a $5.9 billion bank holding company headquartered in Charleston, on September 28, 2022 declared a dividend of 65 cents per common share for shareholders of record as of October 14, 2022. The dividend is payable on October 31, 2022. The dividend represents an 8.3% increase from the 60 cents per share cash dividend paid in the second quarter of 2022.

    “Our board voted to increase the quarterly cash dividend by 5 cents to 65 cents,” stated Charles (Skip) Hageboeck, President and CEO. “This strong increase reinforces the Company's commitment of returning value to its shareholders. The decision to increase the dividend to $2.60 on an annualized basis is based on the Company's current strong capital and liquidity position, our financial performance during 2022, and our confidence in the Company's ability to sustain this performance.”

    City Holding Company is the parent company of City National Bank of West Virginia. City National Bank operates 94 branches across West Virginia, Kentucky, Virginia, and Ohio. The Company’s stock is traded on the NASDAQ Global Select Market under the quotation symbol “CHCO”.
