Item 8.01 Other Events.

On February 10, 2021, Richard D. Fairbank, Chairman and Chief Executive Officer of Capital One Financial Corporation (the “Company”), adopted a pre-arranged stock trading plan (the “Plan”) providing for the exercise of certain employee stock options and for the sale of a sufficient number of shares of common stock of the Company issued upon exercise of the options to cover payment of the exercise costs and estimated tax withholding amounts. The Plan covers options to purchase 360,009 shares granted as compensation to Mr. Fairbank in January 2012 with a strike price of $45.87 (the “Plan Options”). The Plan Options will expire in January 2022.

The transactions under the Plan are expected to occur no earlier than July 2021. The Plan expires in January 2022. The Plan was established under Rule 10b5-1 of the Securities Exchange Act of 1934 and the Company’s policies regarding stock transactions. The transactions will be disclosed publicly in Form 144 and Form 4 filings with the Securities and Exchange Commission.
