Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

     On March 9, 2009 Marc Girard resigned from his position as Head of Vaccine Development of the Registrant (“Mymetics”). Mr. Girard resigned for reasons of health and time constraints as a result of his work with various international entities focused on addressing global health concerns, including the World Health Organization. Mr. Girard’s duties will be assumed by Mymetics’ CSO, Sylvain Fleury. Mr. Girard will continue to assist Mymetics with development of its vaccines in his role as a consultant to the company.
