Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On November 18, 2022, the New York Stock Exchange (“NYSE”) approved the application of America First Multifamily Investors, L.P. (the “Partnership”) to have its beneficial unit certificates representing assignments of limited partnership interests in the Partnership (“BUCs”) listed on the NYSE. As previously announced, in connection with the listing on the NYSE the Partnership intends to change its name to Greystone Housing Impact Investors LP and, in this regard, anticipates that the BUCs will commence trading on the NYSE under the trading symbol “GHI.”

On November 22, 2022, the Partnership provided further written notice to the Nasdaq Stock Market LLC (the “Nasdaq”) that the Partnership expects to voluntarily delist the BUCs from the Nasdaq at the close of trading on December 2, 2022 and that trading will commence on the NYSE at market open on the following business day, December 5, 2022. The Partnership’s BUCs will continue to be traded on the Nasdaq under the symbol “ATAX” until the listing on the NYSE commences.

Item 7.01 Regulation FD Disclosure.

On November 22, 2022, the Partnership issued a press release announcing the approval of the NYSE listing application and its intent to transfer the listing of the BUCs to the NYSE, a copy of which is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated by reference herein.

America First Multifamily Investors, L.P. Announces Approval to List on the

New York Stock Exchange

Omaha, Nebraska – On November 22, 2022, America First Multifamily Investors, L.P. (NASDAQ: ATAX) (the “Partnership”) announced the approval of its application to list its beneficial unit certificates representing assigned limited partnership interests (“BUCs”) on the New York Stock Exchange (“NYSE”). As a result, the Partnership intends to voluntarily transfer the listing of the BUCs from the Nasdaq Global Select Market (“Nasdaq”) to the NYSE, and the Partnership has provided written notice to the Nasdaq to that effect. The Partnership previously announced its plans to change the Partnership’s legal name to Greystone Housing Impact Investors LP. The Partnership expects to commence trading on the NYSE as Greystone Housing Impact Investors LP upon market open on December 5, 2022, and will trade under the symbol “GHI”. The BUCs will continue to be traded on the Nasdaq Global Select Market under the symbol “ATAX” until the close of trading on December 2, 2022.
