Mechanical Technology, Incorporated (the "Registrant") hereby incorporates by reference the description of its common stock, par value $0.01 per share, to be registered hereunder, contained under the heading "Description of Registrant's Securities to be Registered" in the Registrant's Registration Statement on Form 10 (the "Form 10 Registration Statement"), as filed with the Securities and Exchange Commission (the "Commission") on September 30, 2020, and amended in Amendment No. 1 to the Form 10 Registration Statement, filed with the Commission on November 25, 2020, and further amended in Amendment No. 2 to the Form 10 Registration Statement, filed with the Commission on January 4, 2021.
