ITEM 5.02(b) DEPARTURE OF DIRECTOR.

Effective October 19, 2007, the Honorable J. Joseph Brown, AO, voluntarily resigned as a member of the board of directors of Registrant. The vacancy created by Mr. Brown's resignation will be filled by the vote of Registrant's shareholders at Registrant's 2007 annual meeting of shareholders. Registrant anticipates holding the annual meeting on December 13, 2007.
