Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
   
Dr. John A. Price tendered his resignation as a director of Save the World Air, Inc. (the “Company”) on February 18, 2011.  In connection with his resignation, Dr. Price, a resident of Australia, stated, in effect, that he could not devote the time and resources necessary to continue to serve as a director of the Company.  Additionally, Dr. Price will no longer serve on the Company’s Compensation and Audit Committees.
