Item 1.01 Entry into a Material Definitive Agreement.  


On December 30, 2015, New Jersey Mining Company, Inc. (the “Company”) granted a total of 1,500,000 options to purchase the Company’s common stock to directors as compensation for past and future services rendered.  Delbert Steiner, John Swallow and Grant Brackebusch were each granted 500,000 options, of which 250,000 vested immediately and 250,000 vest on December 30, 2016.  The options are exercisable for a period of 5 years from their vesting dates (December 30, 2020, and December 30, 2021, respectively) at a price of $.10 per share.
