Item 5.03.

Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.



The stockholders of Pain Therapuetucs, Inc. (the “Company”) voted to authorize the Board of Directors of the Company (the “Board”), to file an amendment to the Company’s Amended and Restated Certificate of Incorporation, as amended (the “Certificate of Amendment”), to effect a reverse stock split of the Company’s outstanding common stock, par value $0.001 (the “common stock”), at a ratio up to  a ten-to-one (10:1 ), with such ratio to be determined by the Board. On May 4, 2017, the Board determined to file the Certificate of Amendment with the reve rse stock split ratio set at seven-for-one (7:1 ) (the “Reverse Stock Split”). The Certificate of Amendment was filed with the Secretary of State o f the State of Delaware on May 4 , 2017, and the Reverse Stock Split will become effective in accordance with the terms of the Certi ficate of Amendment as of the close business Eastern Time on May 9, 2017 (the “Effective Time”).

In the reverse stock split, every seven (7) shares of the Company's common stock issued and outstanding at the Effective Time will automatically be exchanged and reclassified into one (1) issued and outstanding share of common stock, par value $0.001 per share. No fractional shares shall be issued in connection with the reverse stock split.  Any of the Company's stockholders who would otherwise be entitled to a fraction of one share of common stock will, in lieu thereof, be entitled to receive one share of common stock In connection with the reverse stock split, there will be no change in the nominal par value per share of common stock of $0.001. The reverse stock split will affect all of the Company’s stockholders uniformly and will not affect any stockholder’s percentage ownership interests in the Company.

Trading of the Company’s stock on The Nasdaq G lobal Market will continue, on split-adjusted basis , with the opening of the market on   Wednesday May 10, 2017, under the existing trading symbol, “PTIE,” and under a new CUSIP number 69562K 506 .  

All outstanding stock options and equity incentive plans immediately prior to the reverse stock split will be proportionately adjusted by dividing the number of shares of common stock into which the stock options and equity incentive plans are exercisable by seven (7) and multiplying the exercise or conversion price by seven (7), as a result of the reverse stock split.

C omputershare, Inc. is acting as exchange agent for the Reverse Stock Split and will send instructions to stockholders of record who hold stock certificates regarding the exchange of certificates for common stock.

OF RESTATED CERTIFICATE OF INCORPORATION

OF

PAIN THERAPEUTICS, INC.



Pain Therapeutics, Inc. (the “Corporation”), a corporation organized and existing under and by virtue of the General Corporation Law of the State of Delaware (the “DGCL”), hereby adopts this Certificate of Amendment (this “Certificate of Amendment”), which amends its Restated Certificate of Incorporation (the “Certificate of Incorporation”), as described below, and does hereby further certify that:

   

FIRST :  The Board of Directors of the Corporation duly adopted a resolution proposing and declaring advisable the amendment to the Certificate of Incorporation described herein, and the Corporation’s stockholders duly adopted such amendment, all in accordance with the provisions of Section 242 of the DGCL.

   

SECOND :  Article Fourth of the Certificate of Incorporation is hereby amended by adding the following paragraph to follow the first paragraph of such article and to precede the second paragraph of such article:



“Effective as of the close of business, Eastern Time, on the date of filing of this Certificate of Amendment with the Secretary of State of the State of Delaware (the “Effective Time”), e very   seven ( 7 ) outstanding shares of the Corporation’s Common Stock, par value $0.001 per share, shall automatically and without any action on the part of the respective holders thereof be exchanged and combined into one (1) share of Common Stock, par value $0.001 per share. At the Effective Time, there shall be no change in the number of authorized shares that the Corporation shall have the authority to issue. No fractional shares shall be issued in connection with the exchange. In lieu thereof, any person who holds a fraction of one (1) share of Common Stock after the exchange shall be entitled to receive one (1) share of Common Stock.”

Pain Therapeutics Announces Reverse Stock Split

-   Stock to   Trade on a Split-adjusted Basis Beginning   May 10, 2017   -





AUSTIN, Texas – May 8 , 201 7 – Pain Therapeutics, Inc. (Nasdaq:   PTIE) today announced that   it will effect a 7 -for- 1   reverse split of its outstanding shares of common stock (the “ Reverse Split”) ,   effective as of the close of business   Eastern Time on May   9 , 2017 ,   (the "Effective Time") Pain Therapeutics ’   common stock will open for trading on The N asdaq Global Market on May   10 , 2017 on a split -adjusted basis   under the existing trading symbol " PTIE " .  



This   Reverse Split was approved by stockholders pursuant to a resolution adopted by stockholders of the Company at the annual meeting of stockholders held on May 4, 2017, and is i ntended to increase the per share trading price of the Company's common stock to satisfy the minimum bid price requirement for continued listing on The NASDAQ Global   Market.    



Based on the number of shares currently outstanding, the Reverse Split will reduce the number of shares of common stock outstanding from about   46.1 million shares pre-Reverse S plit to about   6.6 million shares post-Reverse S plit.  The Reverse Split will affect all stockholders uniformly and will not affect any stockholder’s percentage equity ownership in the Company.

In the Reverse Split , every seven ( 7 )   shares of the Company's common stock issued and outstanding at   the Effective Time will automatically be exchanged and reclassified into one (1) issued and outstanding share of common stock, par value $0.001 per share.     No fractional shares shall be issued in connection with the Reverse Split .     A ny stockholder who would otherwise be entitled to a fraction of one share of common stock will, in lieu thereof, be entitled to receive one share of common stock  i n connection with the Reverse Split .



The par value of the Company’s common stock will remain unchanged at $0.001 per share. Trading of the Company's common stock on The N asdaq   Global Market will continue, on a split-adjusted basis, with the opening of the markets on Wednesday ,   May   10 , 2017, under the existing trading symbol " PTIE "   and under the   new CUSIP number 69562K 506 .



All outstanding stock options and equity incentive plans immediately prior to the Reverse Split   will be proportionately   adjusted by dividing the number of shares of common stock into which the stock options and equity incentive plans are exercisable by seven ( 7 ) and multiplying the exercise or conversion price by seven ( 7 ) , as a result of the Reverse Split .



The Company has retained its transfer agent, Computershare, Inc., to act as its exchange agent for the Reverse Split .     As soon as practicable after the Effective Time, Computershare will provide stockholders of record as of the Effective Time a letter of transmittal providing instructions for the exchange of their stock certificates. Stockholders owning shares via a broker or other nominee will have their positions automatically adjusted to reflect the Reverse Split , subject to brokers' particular processes, and will not be required to take any action in connection with the Reverse Split .   Beneficial holders may contact their bank, broker or nominee with any questions regarding the procedure of implementing the Reverse Split .   Stockholders holding physical certificates may (but are not required to) send their certificates, along with the properly completed and executed letter of transmittal to Computershare, Inc. at the address given below.
