ITEM 8.01 OTHER EVENTS

Centene Corporation (the “Company”) previously announced that it intended to redeem its outstanding 4.75% senior notes due 2022 (the “2022 notes”) in accordance with the terms of the indenture governing the 2022 notes with a portion of the proceeds from the recently completed offer and sale of its 3.375% senior notes due 2030. In connection with the Company’s offers to exchange certain series of outstanding notes for new notes that have been registered under the Securities Act of 1933, as amended, the Company announced that as a result of the spread of COVID-19 and the resulting disruption and volatility in the global capital markets, the Company has deferred redemption of the 2022 notes at this time. While the Company currently is in a strong liquidity position and believes it has adequate access to capital, the Company believes it is prudent in this period of time to defer the redemption of the 2022 notes. Until the Company delivers such notice of redemption, the 2022 notes will remain outstanding. The Company remains in compliance with the terms of its outstanding indebtedness, including the 2022 notes.
