INTRODUCTION

 

This Registration Statement on Form S-8 is filed by United Therapeutics Corporation, a Delaware corporation (the “Company” or the “Registrant”), relating to 2,000,000 share tracking awards (the “Awards”), which have been and will be granted in accordance with the terms of the United Therapeutics 2011 Share Tracking Awards Plan (the “Plan”).  Each Award represents a contractual right to receive an amount in cash equal to the positive difference, if any, between the fair market value of the Award on the exercise date and the fair market value of the Award on the grant date. The fair market value of an Award on the grant date or the exercise date is equal to the closing price per share of the Company’s common stock on that date.

Item 4.                Description of Securities

 

On March 15, 2011, the Board of Directors (the “Board”) of the Company, upon recommendation of the Compensation Committee of the Board (the “Committee”), approved and adopted the Plan.

 

Grants of Awards are made pursuant to standard terms and conditions (the “Terms and Conditions”) and a standard grant letter (the “Grant Letter”), the forms of which were approved by the Committee to be used in connection with standard grants of Awards to the Company’s employees, directors and other eligible persons, including the Company’s executive officers.  The Terms and Conditions and Grant Letter together constitute the Form of Award agreement for purposes of the Plan (as described below).

 

General .  The Awards, which are granted from time to time to select participants in the Plan, including directors, officers, employees, consultants of the Company and its subsidiaries, and any person who provides services to the Company through another entity, convey the right to receive an amount in cash equal to the Appreciation, which is defined as the positive difference between the fair market value of the Award on the exercise date and the fair market value of the Award on the grant date.  The fair market value of an Award on the grant date or the exercise date is equal to the closing price of one share of the Company’s common stock on that date.  Any Appreciation will be paid solely in cash as outlined in the Plan, the Terms and Conditions and the Grant Letter.

 

Awards Subject to the Plan .  No shares of the Company’s common stock will be issued pursuant to the Plan, and payments made under the Plan, if at all, will be made only in cash.  Any Awards that expire, forfeit, are cancelled or are otherwise terminated unexercised will be returned to the Award pool and may be re-awarded under the Plan.  In the event of any change in capitalization of the Company, such as a stock dividend or split, recapitalization, merger, consolidation, spin off, reorganization, combination or exchange of shares, or other similar corporate change, the Committee will make the appropriate adjustments in the number of Awards reserved under the Plan and the number of Awards with respect to any participant to prevent dilution or enlargement of an Award.

 

Awards granted under the Plan generally expire within 10 years of grant, subject to earlier expiration upon termination of the participant’s employment with the Company.  No Plan participant or other person will have any claim or right to be granted an Award, and neither the Company nor the Committee is obligated to treat Plan participants uniformly.  Awards do not provide participants with any dividend, voting or other shareholder rights.  The terms of the Plan in no way constitute a contract of continuing employment, and all of a participant’s rights with respect to an Award (except as provided in the Plan or in the Award agreement) will generally terminate upon termination of employment or service to the Company and its subsidiaries.

Vesting of Awards .

 

Employees:  Each Award granted to an employee, unless otherwise determined by the Committee or otherwise provided in the employee’s employment agreement, will partially vest as long as the participant remains employed by the Company or its subsidiaries, in one-fourth increments on each of the first four anniversaries of the date on which the Award was granted.  Awards will vest fully on the earliest of the following to occur:  (1) the date of a Change of Control (as defined below) of the Company under certain circumstances; (2) the fourth anniversary of the Award’s grant date, provided that the participant continues to be employed by the Company; (3) the date of the participant’s death while employed by the Company; or (4) the date of the participant’s Total Disability (as defined in the Plan).  In the event of a Change of Control, unless the participant’s employment agreement provides otherwise or unless otherwise determined by the Committee, an award shall vest fully on a change of control if either (a) the Award is not assumed, or a substitute award granted, in connection with such Change of Control; or (b) upon a Qualifying Termination (as defined in the Plan) of the employment of an employee within twelve months following a Change of Control of the Company if the Award is assumed, or a new award substituted, in connection with a Change in Control.  Unless otherwise determined by the Committee, any Award held by an employee that is not vested on the date of the employee’s termination will be forfeited, and no payments will be made with respect thereto.  In general, an employee participant’s Award that is vested on his or her date of termination of employment will expire 90 thereafter.

 

Directors:  Unless otherwise determined by the Committee, if the participant is a non-employee member of the Board on the date the an Award was granted, the Award will become fully vested on the one-year anniversary of the grant date of the Award, but only if the director attends at least 75% of the regularly scheduled meetings of the Board and any Committee of the Board of which such participant is a member, from the date of grant until the date of the Company’s next annual meeting of shareholders.

 

Non-Employees other than Directors:  Each Award granted to a non-employee who is not a member of the Board, unless otherwise determined by the Committee or otherwise provided in the employee’s employment agreement, will partially vest in one-fourth increments on each of the first four anniversaries of the date on which the Award was granted.  Awards will vest fully on the earliest of the following to occur:  (1) the date of a Change of Control (as defined below) of the Company; (2) the fourth anniversary of the Award’s grant date, provided that the participant continues to be employed by the Company; (3) the date of the participant’s death while employed by the Company; or (4) the date of the participant’s Total Disability (as defined in the Plan). Unless otherwise determined by the Committee, any Award that is not vested on the date the participant ceases to provide services to the Company or a subsidiary will be forfeited, and no payments will be made with respect thereto.

 

For purposes of the Plan, a “Change of Control” will occur: (a) upon (i) commencement of a public tender offer for all or any portion of the Company’s common stock, (ii) the submission of a proposal to merge, consolidate or otherwise combine with another company to the Company’s shareholders for approval or (iii) the approval by the Board of any transaction or event that would constitute a change of control of the Company of a nature that would be required to be reported in response to Item 6(e) of Schedule 14A under the Exchange Act; (b) if any person or group (as used in Section 13(d) of the Exchange Act) becomes the beneficial owner of securities of the Company representing more than 30% of (i) the shares of the Company’s common stock then outstanding or (ii) the combined voting power (other than in the election of directors) of all voting securities of the Company then outstanding; (c) if, during any 24 consecutive-month-period, individuals who at the beginning of such period constituted the Board (and any director whose election or nomination for election by the Company’s shareholders was approved by a vote of at least two-thirds (2/3) of the directors then in office who were either directors at the beginning of the period or whose election or nomination for election was previously so approved) cease for any reason (other than death or disability) to constitute at least a majority of the Board; or (d) upon the complete liquidation of the Company or the sale or disposition by the Company of all or substantially all of the Company’s assets, other than a liquidation of the Company into a wholly-owned subsidiary.

The Committee may also grant Awards to eligible participants other than directors and executive officers that only vest upon a Change of Control.

 

Assignment and Transfer of Awards .  Awards granted under the Plan are not assignable or transferable other than by will or the laws of descent and distribution.  No Award or interest or right associated with any Award will be liable for the debts, contracts or engagements of the Plan participant nor will such Award be subject to disposition by transfer, alienation, anticipation, pledge, encumbrance, assignment or such other means as specified in the Plan.

As permitted by Delaware law, the Company’s certificate of incorporation provides that no director will be personally liable to the Company or its shareholders for monetary damages for breach of fiduciary duty as a director, except for liability for (a) any breach of duty of loyalty to the Company or its shareholders, (b) acts or omissions not in good faith or that involve intentional misconduct or a knowing violation of law, (c) willful or negligent violations of certain provisions of the Delaware General Corporation Law (the “DGCL”) imposing certain requirements with respect to stock repurchases, redemptions and dividends, or (d) for any transaction from which the director derived an improper personal benefit.

 

The Company’s certificate of incorporation and bylaws provide that the Company must indemnify its directors and officers and may indemnify its employees and agents to the fullest extent permitted by Delaware law. Pursuant to Section 145 of the DGCL, the Company generally has the power to indemnify its current and former directors, officers, employees and agents against expenses and liabilities that they incur in connection with any suit to which they are, or are threatened to be made, a party by reason of their serving in such positions so long as they acted in good faith and in a manner they reasonably believed to be in, or not opposed to, the best interests of the Company, and with respect to any criminal action, they had no reasonable cause to believe their conduct was unlawful. The statute expressly provides that the power to indemnify or advance expenses authorized thereby is not exclusive of any rights granted under any bylaw, agreement, vote of shareholders or disinterested directors, or otherwise, both as to action in such person’s official capacity and as to action in another capacity while holding such office. The Company believes that indemnification under its certificate of incorporation and bylaws covers negligence and gross negligence on the part of indemnified parties. The Company also has the power to purchase and maintain insurance for such directors and officers, and currently maintains an insurance policy which, within the limits and subject to the terms and conditions thereof, covers certain expenses and liabilities that may be incurred by directors and officers in connection with actions, suits or proceedings that may be brought against them as a result of an act or omission committed or suffered while acting as a director or officer of the Company.

 

The Company has entered into indemnification agreements with each of its directors and executive officers. These agreements, among other things, require the Company to indemnify such directors and executive officers for certain expenses (including attorneys’ fees), judgments, fines and settlement amounts incurred by any such person in any action or proceeding, including any action by the Company or in its right, arising

out of such person’s services as a director or officer of the Company, any of its subsidiaries or any other company or enterprise to which the person provides services at the Company’s request to the fullest extent permitted by law.

Ladies and Gentlemen:

 

We have examined the Registration Statement on Form S-8 (the “Registration Statement”) of United Therapeutics Corporation, a Delaware corporation (the “Company”), filed with the United States Securities and Exchange Commission (the “Commission”) on May 2, 2011 pursuant to Rule 415 under the Securities Act of 1933, as amended (the “Securities Act”) in connection with the offering by the Company of up to 2,000,000 additional share tracking awards (the “Awards”).

 

In rendering this opinion, we have examined and relied on copies of the following documents in the forms provided to us by or on behalf of the Company:  (i) the United Therapeutics Corporation 2011 Share Tracking Awards Plan (the “STAP”); (ii) the 2011 Share Tracking Awards Plan Terms & Conditions (for non-employees) (the “Non-Employee Terms and Conditions”); (iii) the 2011 Share Tracking Awards Plan Terms and Conditions (for employees) (the “Employee Terms and Conditions” and, together with the STAP and the Non-Employee Terms and Conditions, the “Plan”); (iv) the form of Award letter (the “Award Agreement”); (v) the Amended and Restated Certificate of Incorporation of the Company, filed with the Office of the Secretary of State of the State of Delaware on June 11, 1999, as amended to date; (vi) the Second Amended and Restated By-Laws of the Company; and (vii) the resolutions set forth in the Action by Unanimous Written Consent in Lieu of a Meeting of the Board of Directors of the Company (the “Board”) dated March 15, 2011 (the “Board Resolutions”).  In such examination, we have assumed the genuineness of all signatures, the authenticity of all documents submitted to us as originals, the conformity to executed documents of all documents submitted to us as copies, forms, or drafts of documents to be executed and the legal capacity of natural persons to complete the execution of documents.

 

For purposes of rendering the opinion expressed herein, we have assumed, with your permission:  (i) the due incorporation, organization, valid existence and good standing of the Company and each entity that is or will be a party to any Award Agreement; (ii) the

 



 

corporate power and authority to execute, deliver and perform its obligations under the Award Agreement of each entity that is or will be a party to any Award Agreement other than the Company; (iii) that the creation of the Awards and the performance by the Company of its obligations under the Plan and any Award Agreement, do not and will not violate, conflict with or constitute a default under (A) any agreement or instrument to which the Company or any of its properties is subject, (B) any law, statute, rule or regulation to which the Company or any of its properties is subject, or (C) any judicial or regulatory order or decree of any governmental authority, and will not require any consent, approval, license, authorization of, or filing, recording or registration with, any governmental authority; (iv) the due authorization, execution, and delivery, as applicable, of the Plan by the Company and each Award Agreement by each of the parties thereto; (v) that each Award Agreement constitutes or will constitute the legal, valid and binding obligation of each of the parties thereto, other than the Company, enforceable against each of the parties thereto, other than the Company, in accordance with its terms; (vi) that each Award Agreement was or will be granted and each Award was or will be made by the Administrator (as defined in the STAP) or by an officer designated as an Authorized Officer pursuant to the Board Resolutions and delegated authority by the Administrator (as such term is defined in the STAP) pursuant to Section 3.2 of the STAP; (vii) that the members of the Board and any officers delegated authority to act under the Plan acted or will act in compliance with their fiduciary duties to the Company and its stockholders in approving the Plan and the Award Agreement and in granting Awards pursuant to each Award Agreement; (viii) that a court interpreting the STAP would give effect to the choice of Delaware law to govern the STAP, the Non-Employee Terms and Conditions, the Employee Terms and Conditions, and the Award Agreement or otherwise apply Delaware law thereto; and (ix) that, as of the date of the Board Resolutions, the Board had duly designated the Compensation Committee and such designation has not been modified or rescinded.

 

We have not reviewed any documents other than those identified above in connection with this opinion, and we have assumed that there are no other documents that are contrary to or inconsistent with the opinion expressed herein.  We have conducted no independent factual investigation of our own with respect to any of the factual matters addressed by our opinion set forth herein, but, rather, have relied solely upon the foregoing documents, and the additional matters recited or assumed herein, which we assume to be true, complete and accurate in all material respects.  No opinion is expressed herein with respect to the requirements of, or compliance with, federal or state securities or blue sky laws.  As to any facts material to our opinion, other than those assumed, we have relied, without independent investigation, on the above-referenced documents and the accuracy, as of the date hereof, of the matters therein contained and have assumed that there will be no material change in the facts therein contained any time prior to the grant of an Award Agreement.  We note that we have been retained to act as special Delaware counsel for purposes of rendering the opinion expressed herein.  We are not regular counsel to the Company and we are not generally informed as to its business affairs.  We express no opinion herein as to any laws other than the laws of the State of Delaware.

 

Based upon and subject to the foregoing and to the further qualifications set forth below, and limited in all respects to matters of Delaware law, it is our opinion that, when granted

in accordance with the provisions of the Plan, an Award Agreement will be a valid, legal and binding agreement of the Company, enforceable against the Company in accordance with its terms, subject to (i) bankruptcy, insolvency, reorganization, receivership, fraudulent conveyance, moratorium or other laws of general application relating to or affecting the enforcement of creditors’ rights and remedies, as from time to time in effect, (ii) application of equitable principles (regardless of whether such enforceability is considered and applied in a proceeding in equity or at law), (iii) considerations of public policy, and (iv) principles of course of dealing or course of performance and standards of good faith, fair dealing, materiality and reasonableness that may be applied by a court to the exercise of rights and remedies and the possible unavailability of specific performance or injunctive relief.  The foregoing opinion is subject to the additional qualification that we express no opinion with respect to (i) Section 9.7 of the STAP (regarding severability); (ii) Section 9.8 of the STAP (regarding governing law); and (iii) Section 3.1 of the STAP to the extent it purports to limit the liability of members of the Administrator (as such term is defined in the STAP) or purports to limit the right of members of the Administrator (as such term is defined in the STAP) to vote on matters relating solely to themselves or to any of their exclusive rights or benefits under the STAP.

 

This opinion speaks only as of the date hereof and is based on our understandings and assumptions as to the present facts and our review of the above-referenced documents and the application of Delaware law as the same exist on the date hereof, and we undertake no duty to update or supplement this opinion for the benefit of any person or entity with respect to any facts or circumstances that may hereafter come to our attention or any changes in facts or law that may hereafter occur or take effect.  We hereby consent to the filing of this opinion as Exhibit 5.1 to the Registration Statement.  In giving this consent, we do not admit that we are in the category of persons whose consent is required under Section 7 of the Securities Act of 1933, as amended, or the rules and regulations of the Commission.

2011 SHARE TRACKING AWARDS PLAN

TERMS & CONDITIONS

 

(applicable to Awards granted to employees on or after March 15, 2011)

 

Introduction .  Share Tracking Awards (“ Awards ”) may be granted by United Therapeutics Corporation (the “ Company ”) under either the Company’s Share Tracking Awards Plan, adopted as of June 1, 2008 (the “ 2008 Plan ”) or under the Company’s 2011 Share Tracking Awards Plan (the “ 2011 Plan ”) following approval and adoption of the 2011 Plan by the Board of Directors of the Company (the “ Board of Directors ”) or any substantially similar plan adopted in the future by the Board of Directors.  The specific share tracking awards plan under which the particular Awards to which these Terms & Conditions relate is hereinafter referred to as the “ Plan ”.  Capitalized terms used but not defined herein shall have the meanings ascribed to those terms under the Plan.

 

1.                                        Non-Transferability .  This Award may not be transferred in any manner other than by will or the laws of descent and distribution, and once vested may be exercised prior to expiration only by the Participant.  If the Participant dies prior to exercising a vested Award, the Award may be exercised by the person or persons entitled to do so under Section 6 or Section 9.1 of the Plan.  The terms of this Award shall be binding upon the executors, administrators, heirs, successors, and assigns of the Participant.

 

2.                                        Vesting .  Unless otherwise determined by the Administrator or as provided in the Participant’s employment agreement, the Award shall partially vest in one-fourth increments on each of the first four anniversaries of the Grant Date (subject to the Participant continuing to be employed or otherwise providing services to the Company or a subsidiary through the applicable vesting date), and shall fully vest on the earliest to occur of the following:

 

(i)                                      the date of a Change of Control if and to the extent provided by Section 5;

 

(ii)                                   the fourth anniversary of the Grant Date of the Award;

 

(iii)                                the date of the Participant’s; or

 

(iv)                               the date of the Participant’s Total Disability.

 

 

Unless otherwise determined by the Administrator, any Award that is not vested upon the date of a Participant’s termination of employment with the Company shall be forfeited, and no payment shall be made with respect thereto.(1)

 

3.                                        Form of Payment .  The Appreciation (as that term is defined in Section 2.2 of the Plan) shall generally be paid to the Participant by Company check in the next payroll cycle for employees following the Exercise Date.

 


(1)           The Committee may also grant an Award to eligible participants other than directors and executive officers that only vests upon a Change of Control.

 



 

4.                                        Withholding .  As a condition to this Award, the Company will withhold in accordance with applicable law from any cash compensation payable to Participant any taxes required to be withheld by the Company under federal, state or local law as a result of Participant’s exercise of this Award.

 

5.                                        Special Exercise Rights .  Notwithstanding any other provision in the Plan or these Terms & Conditions to the contrary, this Award shall vest and become fully exercisable (a) upon a Change of Control of the Company (as defined in Section 2.6 of the Plan) if the Award is not assumed by, or a substitute award granted, in connection with such Change of Control, (b) upon a Qualifying Termination of the employment of an employee within twelve months following a Change of Control of the Company (as defined in Section 2.6 of the Plan) if the Award is assumed, or a new award substituted, in connection with a Change in Control, (c) upon the Participant’s death or Total Disability (as defined in Section 2.19 of the Plan), or (d) as required the Participant’s employment agreement.  If so determined by the Compensation Committee of the Board of Directors, all or a portion of the Award shall be automatically exercised upon the occurrence of a Change of Control to the extent the Award vests in connection with the Change of Control.

 

6.                                        Method of Exercise

 

a.                Once vested, this Award may only be exercised by the Participant (i) at any time that Participant remains employed by, or is actively providing services to, the Company or its subsidiaries, or (ii) for a period of ninety (90) days following the date the Participant ceases to be employed by or otherwise provide services to the Company or a subsidiary.

 

b.               This Award shall be exercised upon delivery to the Company of an executed Award Exercise Form (a copy of which is attached hereto).  This Award shall lapse and shall be without further force and effect if it remains unexercised by the Participant ninety (90) days following the date the Participant ceases to be employed by or otherwise provide services to the Company or a subsidiary

 

7.                                        Qualifying Termination Definitions .

 

a.                For purposes of Section 5 above, a “Qualifying Termination” means termination of the employee’s employment by the Company without “Cause” or resignation by the employee for “Good Reason”.

 

b.               “Cause” has the meaning specified in an employee’s employment agreement with the Company or, if there is no such agreement or definition, termination of the employee’s employment by the Company due to (i) employment- or profession-related misconduct or other employment- or profession-related similar action on the part of the employee; (ii) conviction of the employee of a crime involving a felony, fraud, embezzlement or the like; or (iii) misappropriation of Company funds or misuse of Company assets by the employee.

 

c.                “Good Reason” means the employee’s resignation from employment with the Company within 30 days following (i) a reduction in the employee’s base compensation by 10% or more, or (ii) a required relocation of the employee’s principal place of employment by more than 50 miles.

 

8.                                        Termination of Award .  Notwithstanding any provision of these Terms & Conditions or the Plan to the contrary (including Section 5.5 of the Plan), this Award shall expire and shall no longer be exercisable on the date of termination of the Participant’s employment by the Company for gross misconduct (which includes, without limitation, commission of a felony, misdemeanor or similar

 



 

crime or offense, the Participant’s failure to follow lawful directions of the person to whom he or she reports, and such other circumstances as reasonably determined by the Administrator).

 

9.                                        Miscellaneous .  The Participant acknowledges receipt of a copy of the Plan, which is attached hereto, and Participant represents that he or she is familiar with the terms and provisions thereof.  The Participant hereby accepts this Award subject to all the terms and provisions of the Plan.  The Participant hereby agrees to accept as binding, conclusive, and final all decisions and interpretations of the Board of Directors and, where applicable, the Compensation Committee of the Board of Directors, upon any questions arising under the Plan.  In the event of any conflict between the provisions of the Plan and these Terms & Conditions, the provisions of the Plan shall govern unless specifically modified or superseded by the relevant provisions of these Terms & Conditions.
