The shares (the “Shares”) to be registered hereunder are common shares of beneficial interest, $0.01 par value per share, of Tekla World Healthcare Fund (the “Registrant”). A description of the Shares is contained under the heading “Description of the Trust” in the prospectus included in the Registrant’s registration statement on Form N-2, which registration statement was originally filed under the Securities Act of 1933, as amended, and the Investment Company Act of 1940, as amended, on March 10, 2015 (Registration Nos. 333-202638   and 811-23037, respectively), and such description is incorporated herein by reference.
