On March 22, 2019, the Company issued a press release announcing the closing of the offering of the Notes disclosed in Items 8.01 and 2.03 of this Form 8-K, a copy of which is furnished as Exhibit 99.1 hereto.

 

Item 8.01              Other Events.

 

5.75% Senior Notes due 2024

 

On March 22, 2019, Arbor Realty Trust, Inc., a Maryland corporation (the “Company”), completed the issuance and sale of $90,000,000 aggregate principal amount of its 5.75% Senior Notes due 2024 (the “Notes”) pursuant to a Note Purchase Agreement (the “Purchase Agreement”), by and among the Company, Arbor Realty Limited Partnership, a Delaware limited partnership, and the purchasers named therein (the “Purchasers”), whereby the Company agreed to sell to the Purchasers and the Purchasers agreed to purchase from the Company, subject to and upon the terms and conditions set forth in the Purchase Agreement, the Notes. The Company intends to use the net proceeds from the offering for its general corporate purposes.

 

The Notes were offered and sold in a private offering that was exempt from the registration requirements of the Securities Act of 1933, as amended (the “Securities Act”). The Notes were offered only to persons reasonably believed to be “qualified institutional buyers” under Rule 144A and institutional accredited investors under Rule 501(a)(1), (2), (3) or (7). The Notes have not been registered under the Securities Act or the securities laws of any other jurisdiction. Unless so registered, the Notes may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.

Arbor Realty Trust, Inc. Closes Offering of $90 Million of Senior Unsecured Notes due 2024

 

UNIONDALE, N.Y., March 22, 2019 — Arbor Realty Trust, Inc. (the “Company”) (NYSE: ABR) announced today that it has closed the private placement of $90 million in aggregate principal amount of 5.75% senior unsecured notes due  April 1, 2024 (the “Notes”).

 

The Company intends to use the net proceeds from the offering to make investments relating to its business and for general corporate purposes.

 

Sandler O’Neill + Partners, L.P. acted as placement agent for this offering.

 

The Notes have not been and will not be registered under the Securities Act of 1933, as amended (the “Securities Act”), and are being offered and sold in reliance of an exemption from registration provided by Section 4(a)(2) of the Securities Act. The Notes may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
