Item 4.01. Change in the Registrants Certifying Accountant.
(a) Dismissal of independent registered public accounting firm
On March 30, 2019, the audit committee (the Audit Committee) of the board of directors (the Board) of Target Hospitality Corp. (the Company) approved the dismissal of WithumSmith+Brown, PC (Withum) as the Companys independent registered public accounting firm. The Company communicated to Withum the Audit Committees decision on April 1, 2019. The reports of Withum on Platinum Eagle Acquisition Corp.s, the Companys legal predecessor (Platinum Eagle) consolidated balance sheets as of December 31, 2018 and 2017 and the consolidated statements of operations, changes in shareholders equity and cash flows for the year ended December 31, 2018 and for the period from July 12, 2017 (inception) to December 31, 2017 did not contain an adverse opinion or a disclaimer of opinion, and were not qualified or modified as to uncertainties, audit scope or accounting principles except as follows: such audit report contained an explanatory paragraph in which Withum expressed substantial doubt as to Platinum Eagles ability to continue as a going concern if Platinum Eagle does not complete a business combination by January 17, 2020.
During the Companys most recent fiscal year ended December 31, 2018 and for the period from July 12, 2017 (inception) to December 31, 2017 and the subsequent interim period through April 1, 2019, there were no disagreements between the Company and Withum on any matter of accounting principles or practices, financial disclosure or auditing scope or procedure, which disagreements, if not resolved to the satisfaction of Withum, would have caused it to make reference to the subject matter of the disagreements in its reports on the Companys financial statements for such years.
During the Companys most recent fiscal year ended December 31, 2018 and for the period from July 12, 2017 (inception) to December 31, 2017 and the subsequent interim period through April 1, 2019, there were no reportable events (as defined in Item 304(a)(1)(v) of Regulation S-K under the Securities Exchange Act of 1934, as amended (the Exchange Act)).
The Company has provided Withum with a copy of the foregoing disclosures and has requested that Withum furnish the Company with a letter addressed to the SEC stating whether it agrees with the statements made by the Company set forth above. A copy of Withums letter, dated April 3, 2019, is filed as Exhibit 16.1 to this Current Report on Form 8-K.
The Audit Committee has engaged Ernst & Young LLP (EY) to review the Companys financial statements for the quarterly period ended March 31, 2019 and intends to engage EY, subject to EYs customary client acceptance procedures, as its new independent registered public accounting firm to serve as the Companys independent registered public accounting firm for the fiscal year ending December 31, 2019.
