Section 5 – Corporate Governance and Management

 

Item 5.07. Submission of Matters to a Vote of Security Holders.

 

(a) On December 10, 2019, First Defiance Financial Corp. (“FDEF”) held a special meeting of its shareholders (the “Special Meeting”) in Defiance, Ohio. Of the 19,729,215 shares of common stock, par value $0.01 per share, of FDEF (the “FDEF common stock”) issued and outstanding at the close of business as of October 25, 2019, the record date for the Special Meeting, shareholders holding a majority of the total number of outstanding shares of FDEF common stock entitled to vote were present or represented by proxy at the Special Meeting, constituting a quorum for all matters to be presented at the Special Meeting.

 

The proposals listed below were submitted to a vote of shareholders at the Special Meeting and are described in detail in the joint proxy statement/prospectus filed by FDEF with the Securities and Exchange Commission on October 30, 2019. The final results of the shareholder votes at the Special Meeting are set forth below.

 

(b) (i) FDEF’s shareholders approved the adoption of the Agreement and Plan of Merger, dated as of September 9, 2019, as amended from time to time, between FDEF and United Community Financial Corp. (“UCFC”), with final voting results as follows:
