(b) On February 5, 2020, Ms. Deborah D. McWhinney, a current member of the Board of Directors (the “Board”) of Fluor Corporation (the “Corporation”), and of the Audit and Governance Committees, notified the Corporation of her decision not to stand for reelection at the next annual meeting of stockholders.
