Item 5.07. Submission of Matters to a Vote of Security Holders
On June 3, 2021, Timber Pharmaceuticals, Inc. (the “Company”) announced that the Company’s 2021 Annual Meeting of Stockholders (the “Annual Meeting”) was convened without a quorum. In order to conduct the business of the Annual Meeting, the Company required the presence, in person or by proxy, of a quorum consisting of a majority of the outstanding shares of common stock entitled to vote as of April 12, 2021 (the “Record Date”). At the Annual Meeting, a total of 45.96% of the outstanding shares of common stock as of the Record Date were present. Accordingly a quorum was not present at the Annual Meeting, none of the scheduled business was conducted, and pursuant to the Company’s amended and restated bylaws, the Company’s stockholders approved an adjournment of the Annual Meeting to 1:00 p.m. Eastern Time on July 1, 2021, to allow additional time for stockholders to vote and obtain a quorum.
The vote results for the proposal to adjourn, the only proposal able to be acted upon due to the absence of a quorum at the Annual Meeting, were as follows:

TIMBER PHARMACEUTICALS ANNOUNCES ADJOURNMENT
OF ANNUAL MEETING
Basking Ridge, NJ, June 3, 2021 – Timber Pharmaceuticals, Inc. ("Timber" or the “Company”) (NYSE American: TMBR), a biopharmaceutical company focused on the development and commercialization of treatments for rare and orphan dermatologic diseases, today announced that on June 3, 2021 its 2021 Annual Meeting of Stockholders (the “Annual Meeting”) was convened without a quorum. As a result, in order to provide stockholders additional time within which to vote their eligible shares to establish a quorum, the Annual Meeting was adjourned.
The adjourned meeting will be held at 1:00 p.m. ET on Thursday, July 1, 2021 at the following url: www.virtualshareholdermeeting.com/TMBR2021. The record date for the Annual Meeting remains April 12, 2021.
