Item 3.03 - Material Modification to Rights of Security Holders

 

On January 4, 2023, the Board of Directors of Aytu BioPharma, Inc. (“the Company” or “Aytu”) approved a 1-for-20 reverse stock split of the Company's common stock, which will be effective at 12:01 a.m. Eastern Time on Friday, January 6, 2023 pursuant to a Certificate of Amendment (the “Certificate of Amendment”) to the Company’s Certificate of Incorporation. The Company's stockholders approved the reverse stock split at an Annual Meeting of Stockholders on October 5, 2022. The Company's shares will begin trading on a split-adjusted basis on the Nasdaq Capital Market commencing upon market open on January 6, 2023. A copy of the Certificate of Amendment is attached hereto as Exhibit 3.1 and is incorporated herein by reference. This discussion is qualified in its entirety by reference to the full text of the Certificate of Amendment.

 

As a result of the reverse split, every 20 shares of the Company's issued and outstanding common stock will be automatically combined and converted into one issued and outstanding share of common stock, par value $0.0001 per share. The Company will not issue any fractional shares in connection with the reverse stock split. Instead, the number of shares will be rounded down to the next whole number, and Aytu will pay cash to each stockholder in lieu of any fractional interest in a share to which each stockholder would otherwise be entitled as a result of the reverse stock split. The reverse stock split will not modify the rights or preferences of the common stock.

 

Immediately after the reverse stock split becomes effective, there will be approximately 3.4 million shares of common stock issued and outstanding. The common shares will trade under a new CUSIP number, 054754858, effective January 6, 2023, and will continue to trade under the symbol “AYTU.” All stock options and warrants of the Company outstanding immediately prior to the reverse stock split will be proportionally adjusted.

 

The Company has appointed its transfer agent, Issuer Direct, to act as exchange agent for the reverse stock split. Stockholders owning shares via a bank, broker or other nominee will have their positions automatically adjusted to reflect the reverse stock split and will not be required to take further action in connection with the reverse stock split, subject to brokers' particular processes.

Aytu BioPharma, Inc., a corporation organized and existing under and by virtue of the provisions of the General Corporation Law of the State of Delaware (the “General Corporation Law”),

 

DOES HEREBY CERTIFY:

 

FIRST: The name of the corporation is Aytu BioPharma, Inc. and that this corporation was originally incorporated pursuant to the General Corporation Law on June 3, 2015 under the name Aytu BioScience, Inc.

 

SECOND: That Article IV, Section 1 of the Certificate of Incorporation of this corporation is amended by adding the following paragraph:

 

“Effective as of 12:01 a.m. Eastern Time on January 6, 2023 (the “Effective Time”), a one-for-20 reverse stock split of the Corporation’s common stock shall become effective, pursuant to which each 20 shares of common stock, par value $0.0001 per share, issued and outstanding or held as treasury shares at the Effective Time (hereinafter called “Old Common Stock”), shall be reclassified and combined into one share of common stock, par value $0.0001 per share (hereinafter called “Common Stock”), automatically and without any action by the holder thereof, subject to the treatment of fractional shares, and shall represent one share of Common Stock from and after the Effective Time. No fractional shares of Common Stock shall be issued as a result of such reclassification and combination. In lieu thereof, upon the submission of a transmission letter by a shareholder holding the shares in book-entry form and, where shares are held in certificated form, upon the surrender of a certificate which formerly represented shares of Common Stock that were issued and outstanding immediately prior to the Effective Time, any person who would otherwise be entitled to a fractional share of Common Stock as a result of the Reverse Stock Split, following the Effective Time, shall be entitled to receive a cash payment equal to the fraction of a share of Common Stock to which such holder would otherwise be entitled multiplied by the closing price per share of the Common Stock on the Nasdaq Capital Market at the close of business on the trading day preceding the date of the Effective Time. As soon as practicable following the Effective Time, the Corporation will notify its stockholders of record as of the Effective Time to transmit outstanding share certificates to the Corporation’s exchange agent and registrar (“Exchange Agent”) and the Corporation will cause the Exchange Agent to issue new certificates or book entries representing one share of common stock for every twenty shares transmitted and held of record as of the Effective Time. The Corporation’s authorized shares of Common Stock, each having a par value of $0.0001 per share, shall not be changed.”

 

THIRD: That said Certificate of Amendment, which amends the provisions of the corporation’s Certificate of Incorporation, has been duly adopted by the Board of Directors and stockholders of the corporation in accordance with Section 242 of the General Corporation Law.

Aytu BioPharma Announces 1-for-20 Reverse Stock Split

  

ENGLEWOOD, CO / January 5, 2023 / Aytu BioPharma, Inc. (the Company or “Aytu”) (Nasdaq: AYTU), a commercial stage pharmaceutical and consumer health company providing pediatric-focused prescription drugs and cost-effective consumer health solutions, today announced a 1-for-20 reverse stock split of its outstanding common stock, effective at 12:01 a.m. Eastern time on January 6, 2023. Beginning tomorrow, January 6, 2023, the Company's common stock will trade on a split-adjusted basis.

 

At the Company's Special Meeting of Stockholders (the "Special Meeting") held on October 5, 2022, the Company's stockholders approved a proposal to amend the Company's Certificate of Incorporation to effect a reverse stock split of its common stock at a ratio of up to one-for-twenty (1:20), as determined by the Company's Board of Directors. On January 4, 2023, the Board of Directors approved a 1-for-20 reverse split, and the Company filed a Certificate of Amendment to its Certificate of Incorporation to effect the reverse stock split effective as of January 6, 2023.

 

The Company's Board of Directors implemented the reverse stock split with the objective of regaining compliance with the $1.00 minimum bid price requirement of The Nasdaq Capital Market.  The Company has until May 22, 2023 to comply with this requirement. To comply with this requirement, the closing bid price of the Company's common stock must be at least $1.00 per share for a minimum of 10 consecutive business days prior to May 22, 2023.

 

The Company's shares of common stock will continue to trade on the NASDAQ under the symbol "AYTU." The new CUSIP number for the Company's common stock post-reverse stock split is 054754858.

 

Upon the effectiveness of the reverse stock split, every 20 shares of the Company's issued and outstanding common stock will automatically be converted into one share of common stock. A cash payment will be made to each stockholder in lieu of any fractional interest in a share to which each stockholder would otherwise be entitled as a result of the reverse stock split. The reverse stock split will reduce the number of shares of outstanding common stock from approximately 68.8 million shares to approximately 3.4 million shares. As a result of the reverse stock split, proportional adjustments will be made to the company's outstanding warrants, options, and equity plan pool.

 

The company’s transfer agent, Issuer Direct Corporation (the “Transfer Agent”), is acting as the exchange agent for the reverse stock split. The Transfer Agent will provide instructions to stockholders of record regarding the exchange of stock certificates. Stockholders who hold their shares in brokerage accounts or “street name” are not required to take any action to effect the exchange of their shares.
