As of the end of the period covered by this report, the Company carried out an evaluation, under the supervision and with the participation
of the Company’s management, including the Company’s Chief Executive Officer and Chief Financial Officer, of the effectiveness of the Company’s disclosure controls and procedures (as defined in Rule 13a-15(e)) pursuant to Exchange Act
Rule 13a-14. Based upon that evaluation, the Company’s Chief Executive Officer and Chief Financial Officer have concluded that the Company’s disclosure controls and procedures are effective.

Exercise of Common Stock Warrant.
In February 2009, the Bank issued a warrant to purchase up to 86,957 shares of its common stock at an exercise price of $6.90 per share to the U.S.
Department of the Treasury in connection with the Bank’s participation in the Treasury’s Capital Purchase Program. The Treasury subsequently told the warrant to a private investor on June 12, 2013. The warrant had an expiration date of
February 6, 2019. In connection with our reorganization into the bank holding company form of organization in August 2016, the warrant was automatically converted into a warrant to acquire up to 86,957 shares of the Company’s common
stock at the same per share exercise price and with the same expiration date and other terms as the Bank-level warrant.
