Item 8.01          Other Events.
 
As previously disclosed, on December 14, 2021, Entegris, Inc. (the “Company” or “Entegris”) and Yosemite Merger Sub, Inc., a wholly owned subsidiary of the Company (“Merger Sub”), entered into an Agreement and Plan of Merger (the “Merger Agreement”) with CMC Materials, Inc. (“CMC”), pursuant to which, on the terms and subject to the conditions set forth therein, Merger Sub will merge with and into CMC (the “Merger”), with CMC surviving the Merger as a wholly owned subsidiary of the Company.
 
The completion of the Merger is conditioned upon the expiration or termination of the waiting period applicable to the consummation of the Merger under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Waiting Period”). The HSR Waiting Period expired on January 28, 2022. The closing of the transaction remains subject to the satisfaction of customary closing conditions, including other regulatory approvals and approval by the CMC’s stockholders.
