Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

        (d) On December 17, 2020, the Board of Directors of The Community Financial Corporation (the "Company") appointed Michael Adams, James M. Burke, Gregory C. Cockerham and James F. Di Misa to the Company's Board of Directors, effective January 1, 2021. Messrs. Burke, Cockerham and Di Misa currently serve as directors of the Company's wholly owned subsidiary, Community Bank of the Chesapeake (the "Bank"), and Mr. Adams will be appointed to the Bank's board of directors effective as of January 1, 2021. Mr. Adams will serve on the Board Risk Oversight Committee and Audit Committee of the Company's Board. Messrs. Cockerham and Di Misa will serve on the Board Risk Oversight Committee of the Company's Board of Directors.

        The new directors were not selected in connection with any arrangements or understandings with any persons. Messrs. Adams, Burke, Cockerham, and Di Misa will receive customary fees for their service on the Company's Board of Directors and the committees thereof (as applicable).

        As previously disclosed, Mr. Burke is Executive Vice President of the Company and President of the Bank, and has a base salary of $382,000 under his Employment Agreement dated April 30, 2018 with the Company and the Bank. In addition, Mr. Cockerham was Executive Vice President and Chief Lending Officer of the Company and the Bank until his resignation effective December 31, 2019. Until his resignation, Mr. Cockerham received a salary of $330,000 pursuant to his Employment Agreement, dated April 30, 2018, with the Company and the Bank, which employment agreement was terminated as of December 31, 2019.

        As previously disclosed, the Bank entered into a consulting agreement with Mr. Di Misa effective April 1, 2019 (the "Consulting Agreement") pursuant to which Mr. Di Misa was entitled to receive $140,000 for consulting services provided for a period of nine consecutive months. On December 19, 2019, the Compensation Committee of the Bank elected to extend Mr. Di Misa's consulting agreement through December 31, 2020. At that time, Mr. Di Misa's consulting agreement was amended to reduce the consulting fee provided under the agreement to $70,000 annually. In addition, Mr. Di Misa was Executive Vice President and Chief Operating Officer of the Company and the Bank until his resignation effective March 31, 2019. Until his resignation, Mr. Di Misa received a salary of $330,000 pursuant to his Employment Agreement, dated April 30, 2018, with the Company and the Bank, which employment agreement was terminated as of Mr. Di Misa's resignation.

        Mr. Adams is a 25% owner and the managing member of GAFR Holdings, LLC. The Bank leases space from GAFR Holdings, LLC for one of its lending centers located in Virginia. As of the date of this report, the Bank had paid GAFR Holdings $96,228.29 in 2019 (of which Mr. Adams had an interest of approximately $24,057) and $100,896.32 in 2020 (of which Mr. Adams had an interest of approximately $25,224) in connection with the lending center lease. In addition, Mr. Adams is the 100% owner and President of JON Properties, LLC. The Bank pays monthly fees to JON Properties, LLC in connection with common area maintenance for the Virginia lending center. As of the date of this report, the Bank had paid $11,197.25 in 2019 and $11,569.32 in 2020 in common area maintenance fees.

        Mr. Adams has multiple loans with the Bank. The loans were made in the ordinary course of business, were made on substantially the same terms, including interest rates and collateral, as those prevailing at the time for comparable loans with persons not related to the Bank, and did not involve more than the normal risk of collectibility or present other unfavorable features. As of September 30, 2020, these loans were performing according to their original terms.

        (e) On December 23, 2020 the Bank and Mr. Di Misa entered into an amendment to the consulting agreement the Bank entered into with James F. Di Misa on April 1, 2019, as amended on December 19, 2019. In addition to extending the term of the consulting agreement through June 30, 2021, Mr. Di Misa's consulting agreement was amended to reduce the consulting fee provided under the agreement to $35,000 annually commencing January 1, 2021.

        The foregoing description of the amendment is a summary and it is qualified in its entirety by the amendment to the consulting agreement filed as Exhibit 10.1 hereto which is incorporated herein by reference.

Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

        On December 17, 2020, the Board of Directors of the Company amended Article III, Section 2 of the Company's bylaws to increase the number of directors from ten to fourteen, effective as of January 1, 2021. The amended and restated bylaws are filed as Exhibit 3.1 and incorporated herein by reference.

Item 8.01. Other Events.

        On December 23, 2020, the Company issued a press release announcing the appointment of Messrs. Adams, Burke, Cockerham, and Di Misa to the Board of Directors of the Company and the appointment of Mr. Adams to the Board of Directors of the Bank. A copy of the press release is attached as Exhibit 99.1 hereto and incorporated herein by reference.

Section 2 of Article III of The Community Financial Corporation’s Amended and Restated Bylaws is hereby amended and restated, effective January 1, 2021, as follows:

 

SECTION 2. Number, Term and Election. The board of directors shall consist of fourteen (14) members and shall be divided into three classes as nearly equal in number as possible. The members of each class shall be elected for a term of three years and until their successors are elected or qualified. The board of directors shall be classified in accordance with the provisions of the Corporation’s Articles of Incorporation.

AMENDMENT NUMBER 2 TO THE CONSULTING AGREEMENT BY AND BETWEEN COMMUNITY BANK OF THE CHESAPEAKE AND JAMES F. DI MISA

 

This amendment to the Consulting Agreement by and between Community Bank of the Chesapeake (the “Bank”) and James F. Di Misa (the “Consultant”) is entered into on December 23, 2020 (the “Amendment Number 2”).

 

WHEREAS, the Bank entered into a nine-month Consulting Agreement with the Consultant dated April 1, 2019 and subsequently extended the Consulting Agreement through December 31, 2020 (the “Agreement”); and

 

WHEREAS, Section 1(a) of the Agreement provides the Bank may extend the term of the Agreement; and

 

WHEREAS, the Compensation Committee of the Board of Directors of the Bank reviewed the Agreement and the need for the Consultant’s services in connection with the opening of a new branch location and elected to extend the Agreement through June 30, 2021; and

 

WHEREAS, in connection with the extension through June 30, 2021 and the scope of the consulting services, the Consulting Fee (as such term is defined in Section 2(a) of the Agreement) will be $35,000 effective January 1, 2021.

 

NOW, THEREFORE:

 

1. Effective January 1, 2021, Section 2(a) of the Agreement is hereby amended to replace the reference to $70,000 with $35,000 and to add the following new sentence to the end thereto:

If this Agreement is extended beyond June 30, 2021, the Consultant will be compensated on an hourly basis for actual hours worked and billed to the Bank. The Consultant’s hourly fee will be $150 per hour. Consultant will be paid within 30 days of the Bank’s receipt and approval of an invoice for hours billed.”

2. Effective January 1, 2021, Section 1(a) shall be deleted in its entirety and replaced with the following new Section 1(a):

The Consultant shall provide consulting services through June 30, 2021, unless sooner terminated by the Parties or extended by the Bank. Any extension will be the “Consulting Period” for purposes of Section 3 of this Agreement.”

  3. All other provisions of the Agreement will remain in full force and effect
4. The term of the Agreement is extended through June 30, 2021, unless otherwise terminated sooner or extended.

The Community Financial Corporation Announces Appointments to Its Board of Directors

WALDORF, Md., Dec. 23, 2020 (GLOBE NEWSWIRE) -- The Community Financial Corporation (NASDAQ: TCFC) (the “Company”), the holding company for Community Bank of the Chesapeake, (the “Bank”) announced that on December 17, 2020 the Board of Directors appointed Michael B. Adams, James M. Burke, Gregory C. Cockerham and James F. Di Misa to the Company’s Board of Directors, effective January 1, 2021.

Michael B. Adams is the President of JON Properties, LLC, a full service commercial real estate company in Fredericksburg, Virginia. JON Properties has won numerous awards, particularly for its work on Historic Renovation and tax credit projects in the Fredericksburg, Virginia region. Prior to starting JON Properties, Mr. Adams worked at WEB Equipment, Inc., a dealer in rough terrain forklifts. Mr. Adams served as President of WEB Equipment, Inc. from 1995 – 2006. Mr. Adams serves, or has served, on numerous boards of community organizations. These include the Fredericksburg Rotary Club, the Cal Ripken, Sr. Foundation, the Fredericksburg Area Museum, the Central Virginia Housing Coalition, Loisann’s Hope House and the Germanna Community College Education Foundation. Mr. Adams is also a member of the Fredericksburg Builders Association, the National Association of Home Builders, the Fredericksburg Realtors Association and the National Realtors Association. Mr. Adams attended Prince George’s Community College and the University of Maryland where he studied Business Management. Mr. Adams holds a Class A General Contractors License and is a licensed realtor in the state of Virginia. Mr. Adams will serve on the Board Risk Oversight Committee and Audit Committee of the Company’s Board of Directors.

James M. Burke joined the Bank in 2005. He serves as Executive Vice President of the Company and as President of the Bank. Before his appointment as President of the Bank in 2016, he served as Executive Vice President and Chief Risk Officer. Before joining the Bank, Mr. Burke was Executive Vice President and Senior Loan Officer at Mercantile Southern Maryland Bank. Mr. Burke has over 20 years of banking experience. Mr. Burke serves as Chairman of the Board for St. Mary’s Ryken High School and Trustee for Historic Sotterley Plantation. He is the former Chairman of the Board of Directors of University of Maryland Charles Regional Medical Center and former Board member for the ARC of Southern Maryland. Mr. Burke is a Maryland Banking School graduate and holds a Bachelor of Arts from High Point University. He is also a graduate of the East Carolina Advanced School of Commercial Lending. Mr. Burke has served on the Board of Directors of the Bank since 2016.

Gregory C. Cockerham joined the Bank in 1988. Before Mr. Cockerham’s retirement as an employee of the Bank on December 31, 2019, he served as Executive Vice President and Chief Lending Officer. Before joining the Bank, he was a Vice President at Maryland National Bank. Mr. Cockerham has over 40 years of banking experience. Mr. Cockerham serves as Emeritus and Past Chair of the Board of Directors for the College of Southern Maryland Foundation and Finance Chair of the Potomac Baptist Association. He is Past Chair of Maryland Title Center, former President of the Rotary Foundation Board of Charles County, and Past Chair of the Charles County Board of Education CRD Program. Mr. Cockerham is a Maryland Banking School graduate and holds a Bachelor of Science from West Virginia University. Mr. Cockerham has served on the Board of Directors of the Bank since 2016. Mr. Cockerham will serve on the Board Risk Oversight Committee of the Company’s Board of Directors. He also serves on the Bank Board’s Credit Risk Committee.

James F. Di Misa joined the Bank in 2005. Before Mr. Di Misa’s retirement as a Bank employee on March 31, 2019, he served as Executive Vice President and Chief Operating Officer. Before joining the Bank, Mr. Di Misa served as Executive Vice President of Mercantile Southern Maryland Bank. Mr. Di Misa has over 30 years of banking experience. Mr. Di Misa served on the Board of Trustees of the College of Southern Maryland. He is former Chairman of the Board of Trustees for the Maryland Banking School, Past Chair of the Charles County Rotary Scholarships Program, Past President of the Charles County Rotary Club, former Governor Appointment to the Tri-County Work Force Investment Board, and Past President and Founder of the La Plata Business Association.
