Explanatory Note
This Current Report on Form 8-K/A (this
“Amendment”) is being filed to correct the Current Report on Form 8-K filed by IEH Corporation (the “Company”)
on May 19, 2023 (the “Original 8-K”) with respect to the resignation of Mr. William H. Craig as Chief Financial Officer and
Treasurer of the Company, effective May 17, 2023, by amending and restating in its entirety the second paragraph of Item 5.02 of the
Company’s Original 8-K as follows: “Mr. Craig’s resignation was not the result of any disagreement with the Company
relating to the Company’s operations, policies or practices. Mr. Craig was instead resigning to pursue an unrelated business opportunity”.
The
sole purpose of this Amendment is to amend and restate the second paragraph of Item 5.02 of the Original 8-K. No other changes to the
Original 8-K have been made.

(b) The second paragraph of Section 5.02 of the Original 8-K with respect to the resignation of Mr. William H. Craig as Chief Financial Officer and Treasurer of the Company is amended and restated in its entirely as follows:
“Mr. Craig’s resignation was not the result of any disagreement with the Company relating to the Company’s operations, policies or practices. Mr. Craig was instead resigning to pursue an unrelated business opportunity”.
