SPECIAL GENERAL MEETING RESULTS

MeaTech 3D Ltd. (the “Company”) hereby announces that the shareholders of the Company approved both of the proposals brought before the special general meeting of shareholders scheduled for June 9, 2022 and adjourned to June 10, 2022 (the “Meeting”), by the requisite majority for each proposal in accordance with the Israeli Companies Law, 5759-1999, and the Company’s articles of association, as described in the Proxy Statement which was attached as Exhibit 99.1 to the Company’s Report of Foreign Private Issuer on Form 6-K, furnished to the Securities and Exchange Commission, on May 11, 2022, and sent in connection with the Meeting.
 
26,891,780 ordinary shares, representing approximately 21.25% of the Company’s issued and outstanding ordinary shares as of the record date, were present or represented by proxy at the Meeting.
 
This Form 6-K is hereby incorporated by reference into all effective registration statements filed by the Company under the Securities Act of 1933, as amended.
