Item 8.01            Other Events.

 

As previously reported, on February 21, 2020, BioSig Technologies, Inc. (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with Laidlaw & Company (UK) Ltd. (the “Underwriter”) relating to an underwritten public offering of 2,500,000 shares (the “Shares”) of the Company’s common stock, $0.001 par value per share (the “Common Stock”). On February 25, 2020, the offering of the Shares closed, and pursuant to the Underwriting Agreement, the Company issued to the Underwriter and its designees warrants to purchase up to an aggregate 125,000 shares of Common Stock at a price per share equal to $4.80. On February 25, 2020, the Company issued a press release announcing the closing of such offering. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is hereby incorporated by reference herein.

 

On February 26, 2020, the Company issued a press release announcing that the Company will be presenting at the Cowen & Co. 40th Annual Health Care Conference. A copy of the press release is attached as Exhibit 99.2 to this Current Report on Form 8-K and is hereby incorporated by reference herein.

BioSig Announces Closing of Public Offering of Common Stock

 

Westport, CT, February 25, 2020--(GLOBE NEWSWIRE) --BioSig Technologies, Inc. (Nasdaq: BSGM) (“BioSig” or the “Company”), a medical technology company commercializing a proprietary biomedical signal processing platform designed to improve signal fidelity and uncover the full range of ECG and intra-cardiac signals, today announced the closing and funding of its previously announced “best efforts” underwritten offering of 2,500,000 shares of its common stock, $0.001 par value per share, at a price to the public of $4.00 per share. The gross proceeds from the offering, before deducting the underwriting discount and estimated offering expenses, are $10 million. 

 

Laidlaw & Company (UK) Ltd. acted as sole book-running manager for the offering.

 

BioSig intends to use the net proceeds from the offering to build product inventory, support organizational development to scale up our clinical and commercial operations, research and development of new products, fund filing of additional patent applications and prosecution of patents and for working capital working capital and general corporate purposes.

 

A shelf registration statement on Form S-3 (Registration No. 333-230448) relating to the public offering of the shares of common stock described above was previously filed with the Securities and Exchange Commission (“SEC”) and declared effective on March 29, 2019.
