Item 1. Description of Registrants Securities to be Registered
The Registrant is authorized to issue 100,000,000 shares of common stock, $0.001 par value per share. Each share of common stock is entitled to one vote on all matters on which holders of common stock are entitled to vote. Shares of common stock do not have any cumulative voting rights. Common stockholders are entitled to receive such dividends as the Registrants board of directors may declare, out of legally available funds. Common stockholders have no pre-emptive, conversion, redemption, subscription or similar rights. If the Registrant were to be liquidated, dissolved or wound up, common stockholders would be entitled to share equally in any of the Registrants assets legally available for distribution after the Company satisfied outstanding debts, other liabilities or liquidation preferences, if any.
The Registrant has no charter or by-law provisions that would delay, defer or prevent a change in control of the Registrant.
