The shares to be registered hereunder are common shares of beneficial interest, par value $0.01 per share (the “Common Shares”), of Nuveen Minnesota Municipal Income Fund (the “Registrant”). The description of the Common Shares is contained in the joint proxy statement/prospectus and in the related exhibits included in the registration statement on Form N-14, pre-effective amendment no. 1, filed by the Registrant under the Securities Act of 1933, as amended (the “Securities Act”), on June 26, 2014 (Registration No. 333-196061) and declared effective on June 27, 2014, and such description as included in the joint proxy statement/prospectus filed pursuant to Rule 497 under the Securities Act on July 1, 2014.
