Advanced Micro Devices, Inc. (AMD) is filing this Form 8-A solely in connection with the transfer of the listing of its common stock, par value $0.01 per share (Common Stock), to The NASDAQ Stock Market.

AMDs Certificate of Incorporation authorizes the issuance of 1,500,000,000 shares of Common Stock. The description of the material terms of Common Stock set forth below is subject to, and qualified in its entirety by reference to, AMDs Amended and Restated Certificate of Incorporation, AMDs Amended and Restated Bylaws and the General Corporation Law of the State of Delaware, as amended.
AMD is authorized to issue additional shares of Common Stock without further stockholder approval, except as may be required by applicable law or stock exchange regulations. After the requirements with respect to preferential dividends upon all classes and series of stock entitled thereto have been paid or declared and set apart for payment and after AMD has complied with all requirements, if any with respect to the setting aside of sums as a sinking fund or for a redemption account on any class of stock, then the holders of Common Stock are entitled to receive such dividends as may be declared from time to time by AMDs board of directors. After distribution in full of the preferential amounts to be distributed to the holders of all classes and series of stock or creditors entitled thereto in the event of a voluntary or involuntary liquidation, dissolution or winding up of AMD, the holders of Common Stock will be entitled to receive all the remaining assets of the corporation. Each holder of Common Stock has one vote per share on all matters submitted to a vote of the stockholders, subject to such special rights by class as are or may be granted to holders of AMDs preferred stock. Holders of Common Stock are not entitled as a matter of right to any preemptive or subscription rights and are not entitled to cumulative voting for directors. All outstanding shares of Common Stock are, and the shares of Common Stock issued upon any conversion or exchange of any debt securities or preferred stock providing for such conversion or exchange will be, fully paid and nonassessable. AMDs Common Stock is currently listed on The New York Stock Exchange. The transfer agent for Common Stock is currently Computershare Trust Company, N.A.
