ObsEva SA (the “ Registrant ”) hereby incorporates by reference the description of its common shares, with a par value of 1/13 of a Swiss franc, or approximately CHF 0.0769 per share, to be registered hereunder contained under the heading “Description of Share Capital and Articles of Association” in the Registrant’s Registration Statement on Form F-1 (File No. 333-215383), as originally filed with the Securities and Exchange Commission (the “ Commission ”) on December 30, 2016, as subsequently amended (the “ Registration Statement ”), and in the prospectus included in the Registration Statement to be filed separately by the Registrant with the Commission pursuant to Rule 424(b) under the Securities Act of 1933, which description included in such prospectus shall be deemed to be incorporated by reference herein.
