The class of securities to be registered hereby is the common stock, $0.001 par value per share (the “Common Stock”), of TPG RE Finance Trust, Inc., a Maryland corporation (the “Registrant”).
A description of the Common Stock will be set forth under the headings “Description of Capital Stock” and “Certain Provisions of Maryland Law and Our Charter and Bylaws” in the prospectus to be filed by the Registrant pursuant to Rule 424(b) under the Securities Act of 1933, as amended. Such prospectus forms a part of the Registrant’s Registration Statement on Form S-11, as amended (Registration No. 333-217446), which was initially filed by the Registrant with the Securities and Exchange Commission on April 25, 2017. Such prospectus, in the form in which it is so filed, is incorporated herein by reference.
