Item 4.01 Changes in Registrants Certifying Accountant
(a) | Dismissal of Independent Registered Public Accounting Firm |
On June 18, 2018, the audit committee (the Audit Committee) of the board of directors of Eloxx Pharmaceuticals, Inc. (the Company) approved the dismissal of Kost Forer Gabbay & Kaiserer, a Member of Ernst & Young Global (EY), as the Companys independent registered public accounting firm and provided EY with notice of such dismissal.
The reports of EY on the Companys consolidated financial statements for the fiscal years ended December 31, 2017 and 2016 did not contain an adverse opinion or a disclaimer of opinion, and were not qualified or modified as to uncertainty, audit scope, or accounting principle.
During the fiscal years ended December 31, 2017 and 2016 and the subsequent interim period through June 18, 2018, there have been (i) no disagreements (as defined in Item 304(a)(1)(iv) of Regulation S-K) with EY on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreements, if not resolved to the satisfaction of EY, would have caused EY to make reference thereto in their reports on the Companys financial statements, and (ii) no reportable events (as defined in Item 304(a)(1)(v) of Regulation S-K).
The Company has provided EY with a copy of the disclosures made herein and has requested that EY furnish a letter addressed to the U.S. Securities and Exchange Commission stating whether it agrees with the statements made herein. A copy of that letter is included as Exhibit 16.1 to this Form 8-K.
(b) | Appointment of New Independent Registered Public Accounting Firm |
Also on June 18, 2018, the Audit Committee approved the engagement of Deloitte & Touche LLP (Deloitte & Touche) as the Companys independent registered public accounting firm, effective June 19, 2018, for the fiscal year ending December 31, 2018.
During the fiscal years ended December 31, 2017 and 2016 and the subsequent interim periods preceding the dismissal of EY, the Company had not consulted with Deloitte & Touche regarding either (i) the application of accounting principles to a specified transaction, either completed or proposed; or the type of audit opinion that might be rendered on the Companys financial statements, and neither a written report or oral advice was provided to the Company that Deloitte & Touche concluded was an important factor considered by the Company in reaching a decision as to the accounting, auditing or financial reporting issue; or (ii) any matter that was the subject of a disagreement (as described in Item 304(a)(1)(iv) of Regulation S-K) or a reportable event (as described in Item 304(a)(1)(v) of Regulation S-K).
