A description of the common stock, $0.0001 par value per share, of Vaccinex, Inc., a Delaware corporation (the “Registrant”), is set forth under the heading “Description of Capital Stock” contained in the Registrant’s Registration Statement on Form S-1 (File No. 333-226103), originally filed with the Securities and Exchange Commission on July 9, 2018, as subsequently amended, and is hereby incorporated herein by reference.
