Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On February 20, 2019, Matthew R. Niemann, a member of the Board of Directors (the “Board”) of William Lyon Homes, a Delaware corporation (the “Company”), notified the Company of his decision not to stand for re-election as a member of the Board at the Company’s upcoming 2019 annual meeting of stockholders (the “Annual Meeting”). Mr. Niemann will continue to serve as a director until his current term expires as of the date of the Annual Meeting. Mr. Niemann’s decision not to stand for re-election was not the result of any disagreement with the Company.

Mr. Niemann has been a valuable member of the Board since 2012 and the Company expresses its appreciation for his service.
