Calithera Biosciences, Inc. (the Registrant ) is filing this Registration Statement on Form S-8 for the purpose of registering an additional (a) 1,553,364 shares of its common stock, par value $0.0001 per share (the Common Stock ), issuable to eligible persons under the 2014 Equity Incentive Plan, which Common Stock is in addition to the shares of Common Stock registered on the Registrants registration statements on Form S-8 filed on (i) October 2, 2014 (File No. 333-199126), (ii) May 11, 2015 (File No. 333-204056), (iii) March 15, 2016 (File No. 333-210193), (iv) March 16, 2017 (File No. 333-216740), and (v) March 8, 2018 (File No. 333-223533) (the Prior Forms S-8 ), and (b) 250,000 shares of Common Stock issuable to eligible persons under the 2014 Employee Stock Purchase Plan, which Common Stock is in addition to the shares of Common Stock registered on the Prior Forms S-8.
