On April 18, 2019, the Board of Directors (the Board ) of PolyOne Corporation (the Company ), upon the recommendation of the Boards Compensation Committee, approved and adopted an amendment (the Amendment ) to the PolyOne Supplemental Retirement Benefit Plan (As Amended and Restated Effective January 1, 2014), as amended (the Plan ).
The Board approved and adopted the Amendment to add a Company stock fund investment feature to the Plan to mirror the investment alternatives available under the Companys tax-qualified profit sharing/401(k) plan. This feature will also provide for the deemed reinvestment of dividend equivalents on amounts attributed to the Company stock fund. The Amendment also permits the payout of balances deemed invested in the Company stock fund investment feature in the form of Company common shares (or cash for fractional shares).
