We are pleased to notify you that we will hold the 2019 annual meeting of our stockholders on June 18, 2019, at 10:00 a.m., Eastern Time, at 100 Domain Drive, Exeter, NH 03833 (the offices of Vapotherm, Inc.) for the following purposes:

To elect three (3) directors, each to serve until the 2022 annual meeting of our stockholders;

Our board of directors has established the close of business on April 22, 2019 as the “record date” for this annual meeting. This means that you are entitled to vote at this meeting (in person or by legally-appointed proxy) if our stock records show that you owned our common stock at that time.

Under Securities and Exchange Commission rules that allow companies to furnish proxy materials to stockholders over the Internet, we have elected to deliver our proxy materials to all of our stockholders over the Internet. This delivery process allows us to provide stockholders with the information they need, while at the same time conserving natural resources and lowering the cost of delivery. On or about April 26, 2019, we will commence sending to our stockholders a Notice of Internet Availability of Proxy Materials (the “Notice”) containing instructions on how to access our proxy statement for our 2019 annual meeting of stockholders and our 2018 annual report to stockholders. The Notice also provides instructions on how to vote online or vote by phone and includes instructions on how to receive a paper copy of the proxy materials by mail.

ANNUAL MEETING OF STOCKHOLDERS OF

VAPOTHERM, INC.

TO BE HELD JUNE 18, 2019

INTRODUCTION

The board of directors of Vapotherm, Inc. is soliciting proxies from stockholders for its use at the 2019 annual meeting of stockholders, and at any adjournment or adjournments of that meeting. The annual meeting is scheduled to be held on June 18, 2019, at 10:00 a.m., Eastern Time, at 100 Domain Drive, Exeter, NH 03833 (the offices of Vapotherm, Inc.).

To improve readability, Vapotherm, Inc., which has prepared this proxy statement, will sometimes speak in this document in the first-person (using words such as “we,” “our” or “us”) and will address its stockholders using second-person words (such as “you” or “your”). We will also sometimes refer to Vapotherm, Inc., as “Vapotherm” or “the Company.” References to the Board of Directors of the Company in this proxy statement will usually be shortened to “our Board.”

This proxy statement relates to the solicitation of proxies by our Board for use at the annual meeting.

Purposes of the Meeting

The purposes of the annual meeting are:

Stockholders Entitled to Vote at the Meeting

Our Board has established the close of business on April 22, 2019 as the “record date” for this annual meeting. This means that you are entitled to vote at this meeting (and any adjournments) if our records show that

you owned our common stock at that time. As of this record date, 17,310,386 of our common stock were issued and outstanding, held by approximately 223 registered stockholders of record. Each issued and outstanding common stock as of the record date is entitled to one vote on each matter properly to come before the annual meeting and can be voted only if the record owner of that share, determined as of the record date, is present in person at the meeting or represented by proxy.

Voting Shares That You Hold in Brokerage or Similar Accounts

Many stockholders hold their shares through a stockbroker, bank or other nominee rather than directly in their own name. If you hold your shares through a broker and you do not timely provide your broker with specific instructions on how to vote your shares, your broker will not be authorized to cast a vote on your behalf on Proposals 1 and 3 but will be authorized to cast a vote on your behalf, in its discretion, on Proposal 2. In such cases, a “broker non-vote” may be entered with respect to your shares on Proposals 1 and 3 to reflect that your broker was present with respect to your shares at the meeting but was not exercising voting rights on your behalf with respect to those shares.

Your Voting Options on Each of the Proposals

You may vote “for all”, “withhold all” (meaning you choose to withhold from the proxy holder named in the proxy card your authority to vote) or “for all except” with respect to the election of each nominee for director (Proposal 1 on the proxy card).

You may vote “for,” “against” or “abstain” with respect to the proposal on the ratification of the appointment of Grant Thornton LLP (Proposal 2 on the proxy card).

If any other matter is presented at the annual meeting, your proxy provides that your shares will be voted by the proxy holder named in the proxy card in accordance with his or her best judgment. At the time this proxy statement was first made available, we knew of no matters that needed to be acted on at the annual meeting, other than those discussed in this proxy statement.

Our Board’s Voting Recommendations

Our Board recommends that you vote:

 

   

FOR ALL the election as directors of the three individuals named as its nominees in this proxy statement (Proposal 1 on the proxy card); and

 

   

FOR the ratification of the appointment of Grant Thornton LLP as our independent registered public accounting firm for our fiscal year ending December 31, 2019 (Proposal 2 on the proxy card).

If any other matter is properly brought before the annual meeting, the Company – through the individual named in the proxy and acting as the “proxy holder,” or his or her designee, and pursuant to the blanket authorization granted under the proxy – will vote your shares on that matter in accordance with the discretion and judgment of the proxy holder.

Required Votes to Approve Each Proposal

Three positions on our Board are scheduled to be filled by vote of the stockholders at the annual meeting. As a stockholder, you are entitled to cast one vote per share for each of up to three nominees for election as directors at the annual meeting, but you may not cumulate your votes (in other words, you may not cast votes representing three times the number of your shares entitled to vote in favor of a single nominee). Directors are elected from among the nominees by a plurality of the votes that are cast among all nominees; this means the individuals whose names are validly placed into nomination at the meeting who receive the three highest number of votes cast “for” their election will be elected as directors of the Company. A properly returned proxy indicating “withhold” with respect to the election of one or more directors will not be voted with respect to the director or directors indicated. “Broker non-votes” will not be counted as votes cast on the proposal and will have no effect on the election of directors.

A majority of the votes cast at the meeting will approve: (i) the proposal to ratify the appointment of Grant Thornton LLP; and (ii) all other matters that arise at the annual meeting.

Please note, however, that because the vote on the ratification of Grant Thornton LLP is advisory in nature, the results of such votes will not be binding upon our Board or its committees.

Quorum

Delaware law provides that any stockholder action at a meeting requires that a quorum exist with respect to that meeting. Once a share is represented for any purpose at a meeting, it is deemed by Delaware law to be present for quorum purposes for the remainder of the meeting and (unless a new record date is or must be set for any such adjournment) any adjournment of that meeting.

A majority of the common stock entitled to vote at this meeting, present either in person or by proxy, will constitute a quorum for all purposes at the meeting. If a quorum should not be present, the annual meeting may be adjourned from time to time until a quorum is obtained.

Shares held of record by stockholders who (in person or by proxy) abstain from voting on any or all proposals (and shares represented by “broker non-votes,” described above under “Voting Shares That You Hold in Brokerage or Similar Accounts”) will be included in the number of shares present at the meeting for purposes of determining the presence of a quorum. However, abstentions and broker non-votes as to any proposal will not be considered to be votes that have been “cast” on that proposal and therefore will not affect the outcome of the vote on any proposals described by this proxy statement.

Voting on Possible Other Matters

We are not aware that any person intends to propose that any matter, other than the two numbered proposals specifically described by this proxy statement, be presented for consideration or action by our stockholders at our annual meeting. If any such other matter should properly come before the meeting, however, favorable action on such matter would generally require the affirmative vote of a majority of the votes cast, unless our certificate of incorporation or bylaws or applicable law require otherwise. If you vote by proxy, you will be granting the proxy holder authority to vote your shares on any such other matter in accordance with his discretion and judgment.

Revocation of Proxies or Voting Instructions

A stockholder of record who has delivered a proxy card in response to this solicitation may revoke it before it is exercised at the annual meeting by executing and delivering a timely and valid later-dated proxy, by voting by ballot at the meeting or by giving written notice to the Secretary. If a stockholder of record has voted via the Internet, such stockholder may also change that vote with a timely and valid later Internet vote or by voting at the meeting by ballot. If a stockholder of record has voted by phone, such stockholder may also change that vote with a timely and valid later phone vote or by voting at the meeting by ballot. Attendance at the meeting will not have the effect of revoking a proxy unless a stockholder gives proper written notice of revocation to the Secretary before the proxy is exercised or the stockholder votes by ballot at the meeting. Beneficial owners who have directed their broker, bank or nominee as to how to vote their shares should contact their broker, bank or nominee for instructions as to how they may revoke or change those voting directions.

Our Board is making this solicitation of proxies for our annual meeting. We will bear all costs of such solicitation, including the cost of preparing and distributing this proxy statement and the enclosed form of proxy. After the initial distribution of this proxy statement, proxies may be solicited by mail, telephone, facsimile transmission or personally by directors, officers, employees or agents of the Company. Brokerage houses and other custodians, nominees and fiduciaries will be requested to forward soliciting materials to beneficial owners of shares held by them for the accounts of beneficial owners, and we will pay their reasonable out-of-pocket expenses.

Emerging Growth Company

We are an “emerging growth company” under applicable federal securities laws and therefore permitted to take advantage of certain reduced public company reporting requirements. As an emerging growth company, we provide in this proxy statement the scaled disclosure permitted under the Jumpstart Our Business Startups Act of 2012, or the JOBS Act, including the compensation disclosures required of a “smaller reporting company,” as that term is defined in Rule 12b-2 promulgated under the Securities Exchange Act of 1934, as amended, or the Exchange Act. In addition, as an emerging growth company, we are not required to conduct votes seeking approval, on an advisory basis, of the compensation of our named executive officers or the frequency with which such votes must be conducted. We may remain an emerging growth company until as late as December 31, 2023, though we may cease to be an emerging growth company earlier under certain circumstances, including (i) if the market value of our common stock that is held by non-affiliates exceeds $700.0 million as of any June 30, in which case we would cease to be an emerging growth company as of the following December 31, (ii) if our gross revenue exceeds $1.07 billion in any fiscal year or (iii) if we issue more than $1.0 billion of non-convertible debt over a three-year period.

PROPOSAL 1

ELECTION OF DIRECTORS

Our Board currently consists of eight (8) directors. In accordance with the terms of our amended and restated certificate of incorporation and amended and restated by-laws, our Board is divided into three classes, Class I, Class, II, and Class III, with members of each class serving staggered three-year terms. The terms of each class expire at successive annual meetings so that the stockholders elect one class of directors at each annual meeting. The current classification of our Board is:

Class II - Terms expiring at the 2020 annual meeting:

Our Board, on the recommendation of its Nominating and Governance Committee, has nominated Mr. Army, Mr. Liken and Ms. Weatherman for re-election at this year’s annual meeting. If re-elected, each of these three nominees will serve on our Board until the 2022 annual meeting, or until his or her successor is duly elected and qualified in accordance with our amended and restated certificate of incorporation and amended and restated by-laws.

Below is certain information concerning our Board’s nominees for election at this year’s annual meeting, followed by information concerning those Board members who are not standing for election this year and whose term of office will continue after the annual meeting. The biographies of each of the nominees and continuing directors below contain information regarding the experiences, qualifications, attributes or skills that caused the Nominating and Governance Committee and our Board to determine that the person should be re-elected (or should continue to serve even if not standing for re-election) as a director of the Company.

Following the director biographies is information concerning our corporate governance structure, including descriptions of the standing committees of our Board, namely our Audit, Compensation and Nominating and Governance Committees. The directors serving on each committee are listed in the descriptions below. Our directors may also serve on other committees of our Board and the board of directors of the Company’s subsidiary that are not required to be described by this proxy statement and which are therefore not identified in the information below.

Elsewhere in this proxy statement you will find information concerning the numbers of our common stock that are beneficially owned by each of our directors (see “Security Ownership of Certain Beneficial Owners and Management”) and information regarding the compensation of our directors (see “Executive Officer and Director Compensation”). We urge you to review all of this information when deciding how to vote on Proposal 1.

Our Board recommends that you vote FOR all three of the nominees named below.

The following persons have been nominated for election to the Board:

Nominees for Election at this Annual Meeting (with Terms to Expire at the 2022 Annual Meeting)

Joseph Army, 55, has served as President, Chief Executive Officer and as a member of our Board since June 2012. Prior to joining Vapotherm, Mr. Army served as President and Chief Executive Officer of Salient Surgical Technologies, Inc. (formerly TissueLink Medical, Inc.), or Salient, since 2007. He first joined Salient in 1999 as Chief Financial Officer and Vice President of Finance. Prior to his time at Salient, he held various positions

including Vice President of Finance and Supply Chain Operations for Westaim Biomedical from 1998 to 1999 and strategy consultant for Coopers & Lybrand LLP from 1991 to 1997. Mr. Army holds an MBA in finance from The Wharton School and a BA in history from the University of Rhode Island. He is certified in production and inventory management and is a certified public accountant (inactive status). We believe Mr. Army’s knowledge of the Vapotherm business and his leadership experience at other organizations qualified him to serve on our board of directors.

James Liken, 69, has served as a member of our board since May 2010 and as chairman since October 2012. From 2003 to 2008, Mr. Liken served as Vice Chairman of Respironics. From 1999 through 2003, Mr. Liken served as President and Chief Executive Officer of Respironics. Before joining Respironics, he was owner of Liken Home Medical, Inc., a regional provider of home respiratory services. Mr. Liken has been active in the home medical business since 1976, serving in management and ownership capacities for several predecessor companies. He previously served on the board of the National Association of Medical Equipment Services from 1980 to 2003, serving as chairman of the organization on two separate occasions. We believe Mr. Liken’s experience leading and managing medical technology companies, as well as his board experience, qualified him to serve on our Board.

Elizabeth Weatherman, 58, has served as a member of our Board since October 2017. Ms. Weatherman has served as a Special Limited Partner of Warburg Pincus since January 2016. She joined Warburg Pincus in 1988. She served as a member of the Executive Management Group from 2001 to 2016 and led the firm’s Healthcare Group from 2008 to January 2015. She is a member of the board of Wright Medical Group, N.V., Nevro, and Silk Road Medical. She serves on the Advisory Council of the Stanford Graduate School of Business, as a trustee and member of the Investment Committee of Mount Holyoke College, and a trustee of Saint Ann’s School in Brooklyn, NY, and previously served as a Director of the National Venture Capital Association. Ms. Weatherman received a BA in English, summa cum laude, and Phi Beta Kappa from Mount Holyoke College and holds an MBA from the Stanford Graduate School of Business. We believe Ms. Weatherman’s healthcare investment knowledge, as well as her board experience, qualified her to serve on our Board.

Continuing Directors of the Class with Terms Expiring at the 2020 Annual Meeting

Neal Armstrong, 80, has served as a member of our Board since October 2007. Mr. Armstrong joined Aspect Medical Systems Inc. in 1996 where he served as Vice President, Chief Financial Officer, Principal Accounting Officer, Secretary and Treasurer until February 2005. From 2005 until his retirement in 2006, Mr. Armstrong was the Vice President of Investor Relations at Aspect Medical. Mr. Armstrong came out of retirement to re-join Aspect Medical as Vice President, Chief Financial Officer, Secretary and Treasurer from January 2009 to November 2009. Before joining Aspect Medical, Mr. Armstrong served as Vice President of Finance and Chief Financial Officer at Haemonetics, Inc. from 1990 to 1996. Mr. Armstrong holds a Bachelor’s degree in Business Administration and Accounting from the University of Texas and is a certified public accountant. We believe Mr. Armstrong’s financial knowledge and experience leading and managing medical technology companies, as well as his board experience, qualified him to serve on our Board.

Anthony Arnerich, 69, has served as a member of our Board since March 2013. Mr. Arnerich has served as Chief Executive Officer and Chief Investment Officer of Arnerich Massena since 1991. His experience in the investment industry spans more than 25 years, during which he served as an investment executive and helped found the Investment Management Consulting Group of Dain Bosworth. Mr. Arnerich earned a BA degree from Santa Clara University. We believe Mr. Arnerich’s healthcare investment knowledge, as well as his board experience, qualified him to serve on our Board.

Geoff Pardo, 47, has served as a member of our Board since February 2014. Mr. Pardo has served as a partner at Gilde Healthcare since 2011. Previously, he was a partner at Spray Venture Partners from 2004 to 2011. He also

served as President and Chief Executive Officer of Facet Solutions, a spinal implant company focused on treating lumbar spinal stenosis, from 2007 until the company was sold to Globus Medical in 2011. He has also worked at Cardinal Partners as an Associate. He currently serves as a board member of Axonics Modulation Technologies, Inari Medical and CVRx, Inc. Mr. Pardo received a BA from Brown University and an MBA from The Wharton School of Business. We believe Mr. Pardo’s experience leading and managing a medical technology company, as well as his healthcare industry knowledge and his experience serving on the board of directors of other companies, qualified him to serve on our Board.

Continuing Directors of the Class with Terms Expiring at the 2021 Annual Meeting

Marina Hahn, 61, has served as a member of our Board since October 2017. She has served as Vice President, New Business since April 2018 and a member of the Management Committee for Anheuser-Busch Inc. Prior to joining Anheuser-Busch Inc., Ms. Hahn held leadership positions in various companies, including President of the Consumer Division of Flex Pharma from September 2014 to March 2016, Chief Strategy Officer and Chief Marketing Officer at Quirky Inc. from August 2012 to November 2014, Chief Marketing Officer of Spirits Marque One LLC and Senior Vice President of Constellation Brands from 2003 to 2012, Executive Vice President of J. Walter Thompson Company from 1999 to 2002, Vice President of Advertising at Sony Electronics Inc. from 1994 to 1997 and Director of Advertising at the Pepsi-Cola Company from 1989 to 1994. Ms. Hahn also has experience serving on corporate boards, serving as a director of Celestial Seasonings Inc. from 1996 to 2000 and Director of Hain Celestial Group, Inc. from 2000 to 2014. She is a member of the Business Leadership Council of Wellesley College. Ms. Hahn received a BA degree in French Literature and Political Science from Wellesley College. We believe Ms. Hahn’s marketing knowledge, start up venture experiences, and her experience serving on the board of directors of other companies qualified her to serve on our Board.

Craig Reynolds, 70, has served as a member of our Board since August 2010. Mr. Reynolds served as the Chief Executive Officer and President of Ebb Therapeutics (formerly Cereve Inc.) from January 2011 to February 2017. Prior to joining Ebb Therapeutics, Mr. Reynolds served as Chief Operating Officer of Philips Respironics Home Health Solutions from 2008 to 2010. Prior to its acquisition by Philips Respironics, Mr. Reynolds was the Chief Operating Officer and a board member of Respironics from 1998 to 2008. From 1993 to 1998, Mr. Reynolds was with Healthdyne Technologies, Inc., a medical device company, serving for five years as Chief Executive Officer and Director. He currently serves as a board member of Masimo Corporation, Ebb Therapeutics, Inc. and Zephyr, Inc. From January 2008 through July 2014, Mr. Reynolds served as a director of Symmetry Medical, Inc., and as Chairman of the Board from June 2009 to August 2014. He also served as Chairman of the Board of Symmetry Surgical, Inc. from August 2014 through July 2016. Mr. Reynolds earned his BS in Industrial Management from the Georgia Institute of Technology and an MBA in marketing from Georgia State University. We believe Mr. Reynolds’ experience leading and managing medical technology companies, as well as his experience serving on the board of directors of other companies, qualified him to serve on our Board.

Board Leadership Structure

Our Board is currently led by its Chairman, Mr. Liken. Our Board recognizes that it is important to determine an optimal board leadership structure to ensure the independent oversight of management as the Company continues to grow. We separate the roles of Chief Executive Officer and chairman of the board in recognition of the differences between the two roles. The Chief Executive Officer is responsible for setting the strategic direction for the Company and the day-to-day leadership and performance of the Company, while the Chairman provides guidance to the Chief Executive Officer and presides over meetings of the full Board. We believe this separation of responsibilities provides a balanced approach to managing the Board and overseeing the Company.

Our Board has concluded that our current leadership structure is appropriate at this time. However, our Board will continue to periodically review our leadership structure and may make such changes in the future as it deems appropriate.

Director Independence

Our board of directors currently consists of eight (8) members. Our Board has determined that seven (7) of those members, Mr. Liken, Mr. Armstrong, Mr. Reynolds, Ms. Hahn, Ms. Weatherman, Mr. Arnerich and Mr. Pardo, are independent directors in accordance with the listing requirements of The New York Stock Exchange, or the NYSE. Under the rules of the NYSE, independent directors must comprise a majority of a listed company’s board of directors within a specified period of the completion of a company’s initial public offering. In addition, the rules of the NYSE require that, subject to specified exceptions, including phase-in exceptions for newly public companies, each member of a listed company’s audit, compensation and nominating and governance committee be independent. Audit committee members must also satisfy the independence criteria set forth in Rule 10A-3 under the Exchange Act. Under the rules of the NYSE, a director will only qualify as an “independent director” if, in the opinion of that company’s board of directors, that person does not have a relationship that would interfere with the exercise of independent judgment in carrying out the responsibilities of a director.

Our board of directors undertook a review of its composition, the composition of its committees and the independence of our directors and considered whether any director has a material relationship with us that could compromise his or her ability to exercise independent judgment in carrying out his or her responsibilities. Based upon information requested from and provided by each director concerning his background, employment and affiliations, including family relationships, our Board has determined that none of James Liken, Neal Armstrong, Craig Reynolds, Marina Hahn, Elizabeth Weatherman, Anthony Arnerich or Geoff Pardo, representing seven of our eight directors as of the date of this proxy statement, has a relationship that would interfere with the exercise of independent judgment in carrying out the responsibilities of a director and that each of these directors is “independent” as that term is defined under the rules of the NYSE. In making this determination, our Board considered the relationships that each non-employee director has with us and all other facts and circumstances our Board deemed relevant in determining independence, including the beneficial ownership of our common stock by each non-employee director and the relationship of certain non-employee directors with certain of our significant stockholders.

Role of Board in Risk Oversight Process

Our Board has an active role, as a whole and also at the committee level, in overseeing the management of our risks. Our board of directors is responsible for general oversight of risks and regular review of information regarding our risks, including credit risks, liquidity risks and operational risks. The Compensation Committee is responsible for overseeing the management of risks relating to our executive compensation plans and arrangements. The Audit Committee is responsible for overseeing the management of risks relating to accounting matters and financial reporting. The Nominating and Governance Committee is responsible for overseeing the management of risks associated with the independence of our Board and potential conflicts of interest. Although each committee is responsible for evaluating certain risks and overseeing the management of such risks, the entire Board is regularly informed through discussions from committee members about such risks. Our Board believes its administration of its risk oversight function has not negatively affected our board of directors’ leadership structure.

Committees and Attendance

Our Board held nine meetings during 2018. During that time, no member of our Board attended fewer than 75% of the aggregate of (i) the total number of meetings of our Board (held during the period for which he or she was a director) and (ii) the total number of meetings held by all committees of the Board on which he or she served (held during the period that such director served).

In addition to regular meetings of our Board, the Company’s non-management directors meet in executive sessions without management participation. Our Board has not formally selected a director to preside over the executive sessions of the non-management directors. Instead, at each executive session, the non-management directors designate a presiding director for the session.

Our Board has established three standing committees – Audit, Compensation and Nominating and Governance – each of which operates under a charter that has been approved by our Board. Audit Committee

Mr. Armstrong, Mr. Pardo, and Ms. Weatherman comprise our Audit Committee. Mr. Armstrong serves as the chairperson of the committee. All members of our Audit Committee meet the requirements for financial literacy under the applicable rules and regulations of the Securities and Exchange Commission and the NYSE. Our Board has affirmatively determined that Mr. Armstrong, Mr. Pardo and Ms. Weatherman meet the definition of “independent director” under Rule 10A-3 of the Exchange Act and the NYSE rules for purposes of serving on the Audit Committee. In addition, our Board has determined that Neal Armstrong qualifies as an “Audit Committee financial expert,” as such term is defined in Item 407(d)(5) of Regulation S-K and has the requisite accounting or related financial management expertise and financial sophistication under the applicable rules and regulations of the NYSE.

The Audit Committee oversees our corporate accounting and financial reporting process and assists our Board in its oversight of (i) the integrity of our financial statements, (ii) our compliance with legal and regulatory requirements, (iii) our risk management program, (iv) the performance of our independent auditor and (v) the design and implementation of our internal audit function and internal controls. The Audit Committee is responsible for, among other things:

 

   

approve the hiring, discharging and compensation of our independent auditors;

 

   

oversee the work of our independent auditors;

 

   

approve engagements of the independent auditors to render any audit or permissible non-audit services;

 

   

review the qualifications, independence and performance of the independent auditors;

 

   

review our financial statements and our critical accounting policies and estimates;

 

   

review the adequacy and effectiveness of our internal controls; and

 

   

review and discuss with management and the independent auditors the results of our annual audit, our annual and quarterly financial statements and our publicly filed reports.

The Audit Committee reviews and evaluates, at least annually, the performance of the Audit Committee and its members, including compliance of the Audit Committee with its charter. During the year ended December 31, 2018, the Audit Committee met eight (8) times. The report of the Audit Committee is included in this proxy statement under “Report of the Audit Committee.”

Compensation Committee

Mr. Reynolds, Mr. Arnerich and Ms. Hahn comprise our Compensation Committee. Mr. Reynolds serves as the chairperson of the committee. Our Board has determined that Mr. Arnerich, Ms. Hahn and Mr. Reynolds meet the definition of “independent director” under the applicable NYSE rules for purposes of serving on the Compensation Committee and are “outside directors” as defined in Rule 162(m) of the Internal Revenue Code and “non-employee directors” as defined in Section 16b-3 of the Exchange Act.

Our Compensation Committee oversees our compensation policies, plans and benefits programs and also:

 

   

reviews and approves policies relating to compensation and benefits of our officers and employees;

 

   

reviews and approves corporate goals and objectives relevant to compensation of our chief executive officer and other senior officers;

evaluates the performance of our officers in light of established goals and objectives;

 

   

approves compensation of our officers based on its evaluations; and

 

   

administers our stock plans and grants equity-based awards thereunder.

The Compensation Committee reviews and evaluates, at least annually, the performance of the Compensation Committee and its members, including compliance by the Compensation Committee with its charter. During the year ended December 31, 2018, the Compensation Committee met eight (8) times.

Compensation Consultant

The Compensation Committee has engaged Radford, a business unit of Aon plc, as its independent compensation consultant. Radford provides analysis and recommendations to the Compensation Committee regarding:

 

   

trends and emerging topics with respect to executive compensation;

 

   

peer group selection for executive compensation comparisons;

 

   

compensation programs for executives, directors, and our employees generally; and

 

   

stock utilization and related metrics.

When requested, Radford consultants attend meetings of the Compensation Committee, including executive sessions in which executive compensation-related matters are discussed without the presence of management. Radford reports to the Compensation Committee and not to management, although Radford meets with management for purposes of gathering information for its analyses and recommendations.

In determining to engage Radford, the Compensation Committee considered the independence of Radford, taking into consideration relevant factors, including the absence of other services provided to the Company by Radford, the amount of fees the Company paid to Radford as a percentage of Radford’s total revenue, the policies and procedures of Radford that are designed to prevent conflicts of interest, any business or personal relationship of the individual compensation advisors employed by Radford with any executive officer of the Company, any business or personal relationship the individual compensation advisors employed by Radford have with any member of the Compensation Committee, and any stock of the Company owned by Radford or the individual compensation advisors employed by Radford. The Compensation Committee has determined, based on its analysis and in light of all relevant factors, including the factors listed above, that the work of Radford and the individual compensation advisors employed by Radford as compensation consultants to the Compensation Committee has not created any conflicts of interest, and that Radford is independent pursuant to the independence standards set forth in the Nasdaq listing standards promulgated pursuant to Section 10C of the Exchange Act.

Nominating and Governance Committee

Mr. Liken, Mr. Reynolds and Mr. Army comprise our Nominating and Governance Committee. Mr. Liken serves as the chairperson of the committee. Our Board has determined that Mr. Liken and Mr. Reynolds are independent under the applicable rules and regulations of NYSE. Pursuant to NYSE listing rules, our Board intends to replace Mr. Army as a member of the nominating committee with an independent member of the Board within one year of our initial public offering. The Nominating and Governance Committee operates under a written charter, which the Nominating and Governance Committee will review and evaluate at least annually.

The nominating and governance committee oversees and assists our board of directors in reviewing and recommending nominees for election as directors and also:

 

   

evaluates and makes recommendations regarding the organization and governance of our board of directors and its committees;

The Nominating and Governance Committee did not meet during the year ended December 31, 2018.

In considering whether to recommend any particular candidate for inclusion in our Board’s slate of recommended director nominees, our Nominating and Governance Committee expects every nominee to have a high level of personal and professional integrity, strong ethics and values and the ability to make mature business judgments. We also value experience on other public company boards of directors and board committees.

The biography for each of the director nominees included herein indicate each nominee’s experience, qualifications, attributes and skills that led our Nominating and Governance Committee and our Board to conclude each such director should continue to serve as a director of our Company. Our Nominating and Governance Committee does not have a policy (formal or informal) with respect to diversity, but believes that our Board, taken as a whole, should embody a diverse set of skills, experiences and backgrounds. In this regard, the committee also takes into consideration the value of diversity (with respect to gender, ethnicity and other factors) of our Board members. John Landry has served as Vice President and Chief Financial Officer, Secretary and Treasurer since August 2012. Prior to joining Vapotherm, he held a number of leadership roles at Salient from 2004 to 2011, including VP Accounting & Controller and VP Global Business Development. Mr. Landry also served as Director of International Marketing at Medtronic Advanced Energy from 2011 to 2012, which acquired Salient in August 2011. Prior to his time at Salient, he served in various financial leadership roles at Bottomline Technologies from 2000 to 2004, Hussey Seating Company from 1997 to 2000 and Coopers & Lybrand LLP from 1994 to 1997. Mr. Landry graduated summa cum laude from Bentley College with a BS in Accountancy and is a certified public accountant.

Lindsay Becker joined Vapotherm in July 2012 and has served as Vice President, Human Resources since January 2018. Previously, she served as our Director of Human Resources from January 2015 to December 2017, Human Resources Manager from April 2013 to December 2014 and Executive Assistant to the CEO from July 2012 to March 2013. From 2011 to 2012, she served as an Account Executive for a digital marketing firm, SilverTech. From 2007 to 2011 she worked in the Office of Governor John Lynch as Citizens Services Representative, Director of Scheduling and Executive Assistant. Ms. Becker graduated summa cum laude from Saint Anselm College with a BA in history.

David Blouin joined Vapotherm in January 2018 as Vice President, U.S. Sales. Prior to Vapotherm, Mr. Blouin served as Area Vice President at Medtronic from August 2011 to January 2018. Before he joined Medtronic, Mr. Blouin worked at Salient from May 2006 to August 2011 where he was promoted to multiple sales and leadership roles. Mr. Blouin is a graduate of Purdue University where he earned his degree in Technology & Organizational Leadership.

John Coolidge joined Vapotherm in March 2014 as Vice President, Operations. From September 2011 to January 2014, Mr. Coolidge served as Vice President of Operations at iWalk. He previously held senior management positions at Transmedics from January 2011 to September 2011, Covidien from 2009 to 2011, Aspect Medical Systems from 1997 to 2009, Medtronic from 1995 to 1997 and Johnson & Johnson from 1987 to

1995. Mr. Coolidge holds an MS in Management from Rensselaer Polytechnic Institute and a BS in Mechanical Engineering from Wentworth Institute of Technology.

Marc Davidson joined Vapotherm in August 2017 as Vice President, Research & Development. Mr. Davidson served as the research and development site leader at Alere from February 2016 until joining Vapotherm. From April 2012 to June 2015, Mr. Davidson was the Chief Technology Officer at CSA Medical. He also held VP roles at Lightlab Imaging from 2011 to 2012, Covidien from 2009 to 2011 and Aspect Medical Systems from 2001 to 2009. Mr. Davidson started his career at Hewlett Packard. Mr. Davidson is a graduate of Case Western Reserve University where he earned his BS degree in Computer Engineering.

Jill Dooling joined Vapotherm in May 2018 as Vice President, Strategic Accounts. Prior to joining Vapotherm, she worked at Medtronic, Inc. (formerly Salient) from September 2008 to May 2018, serving as Vice President of Strategic Accounts. She is a graduate of Millersville University where she earned her psychology degree.

George Dungan joined Vapotherm in August 2012 as Vice President, Science and Innovation. Prior to joining Vapotherm, Mr. Dungan served as Director of Global Research at Oridion from 2011 to 2012 where he was responsible for clinical research. Prior to that, he was at the Woolcock Institute of Medical Research in Sydney, Australia from 2005 to 2011 where he served as the Chief Operating Officer, Head of Technology Research and Technical Director for the Australian Center for Chronobiology, Endocrinology and Sleep Science. Mr. Dungan has also held senior manager roles at Philips Respironics from 1999 to 2005, Healthdyne Technologies from 1993 to 1999 and within the sleep/neurophysiology and pulmonary medicine departments at Clarkson Hospital from 1990 to 1993 and Lincoln General Hospital from 1982 to 1987, both in Nebraska. Mr. Dungan holds his Master of Philosophy in Medicine from the Sydney Medical School, University of Sydney.

Lise Halpern joined Vapotherm in January 2013 as Vice President, Marketing. Ms. Halpern previously served as Vice President of Marketing at Transfusion Technologies from 1994 to 2000 and Haemonetics Corporation from 2000 to 2006. Prior to joining Vapotherm, she served as a consultant for seven years advising medical device and biotechnology companies introduce new products and develop new markets in a variety of markets including orthopedics, neurology, diagnostics, regenerative medicine, infection control and pressure ulcer prevention. Ms. Halpern holds a BS in Electrical Engineering and English from Trinity College, and an MS in Biomedical Engineering from Rensselaer Polytechnic Institute.

Richelle Helman joined Vapotherm in November 2013 as Vice President, Regulatory Affairs and Quality. Prior to joining Vapotherm, Ms. Helman was a research and development project manager at NeuroTherm from March 2013 to November 2013, Principal Engineer at Teleflex Medical from September 2010 to March 2013, a consultant in the medical devices industry from 1998 to 2010 and Corporate Development Manager at UroMed from 1995 to 1998. Ms. Helman earned her BS at Union College, MS at Boston University, and both her MBA and Graduate Certificate in Medical Devices Regulatory Affairs at Northeastern University.

Michael McQueen joined Vapotherm in October 2017 as Vice President, Medical Education. From November 2014 to October 2017, Dr. McQueen served as the Medical Director of Women and Children’s Services at Envision Healthcare, or Envision. From 2005 until he joined Envision, Dr. McQueen founded and was the president of Desert Neonatology Associates. Additionally, Dr. McQueen is the Founder & Chief Executive Officer of Goodnight Pediatrics, an urgent care facility specifically for nighttime medical care for children. Dr. McQueen received his medical degree from the St. Louis University School of Medicine. He completed his Pediatric Residency at Phoenix Children’s Hospital / Maricopa Medical Center in Phoenix, AZ, and his Neonatal-Perinatal Medicine Fellowship at the University of Vermont, Burlington, VT. He also completed his MBA at the University of Phoenix in Phoenix, AZ.

Gregoire Ramade joined Vapotherm in May 2016 as Vice President, International. Before joining Vapotherm, Mr. Ramade worked at Becton Dickinson Medical-Pharmaceutical Systems as Vice President of Global Marketing and Business Development from January 2013 to May 2016. He also held the positions of Senior Marketing Director Home Healthcare Solution at Philips Healthcare from 2010 to 2012, Marketing Director EMEA at Philips Respironics from 2005 to 2009 and Product Manager of Consumable Masks and Accessories at Philips Respironics from 2004 to 2005. Mr. Ramade holds a bachelor’s degree in International Business with a minor in Economics from the American University of Paris and an MBA in International Business and Marketing from the Ecole Nationale des Ponts et Chausses School of International Management.

Narrative Disclosure to Summary Compensation Table

Base Salary

Base salaries for the named executive officers are reviewed annually by the Compensation Committee. The base salary payable to each named executive officer is intended to provide a fixed component of compensation reflecting the executive’s skill set, experience, role and responsibilities. Effective October 17, 2018, in connection with our initial public offering, Mr. Army’s annual base salary was increased from $275,000 to $400,000. For 2018, Mr. Ramade’s annual base salary was $222,336 (€195,000) and Mr. Blouin’s annual base salary was $200,000.

Annual Bonus and Commission

With respect to 2018, Mr. Army was eligible to receive an annual bonus based equally on our achievement of revenue, gross margin and other Company objectives, as established by the Compensation Committee in the beginning of 2018. In connection with our initial public offering, Mr. Army’s target bonus was increased from 75% to 100% of his base salary, effective October 18, 2018. Mr. Army’s bonus for 2018 was determined in part based on his compensation as in effect before October 17, 2018, and in part based on his compensation after this date.

In January 2019, the Compensation Committee determined that 90% of the corporate goals under our 2018 bonus program had been met and, therefore, the bonus program would fund at 90% for all employees. Bonuses were paid in February 2019.

Mr. Ramade and Mr. Blouin were each eligible for sales commissions according to their respective commission plans. In 2018, Mr. Blouin was eligible to earn a total of $160,000 in commissions based on U.S. capital revenue performance and U.S. disposable revenue growth performance. This was comprised of a commission opportunity of $37,500 in commissions per quarter, which were guaranteed for 2018, and an additional annual commission opportunity of $10,000. Mr. Blouin earned 25% of his annual commission, resulting in a total commission payout of $152,500 for fiscal year 2018, representing 95% of Mr. Blouin’s total 2018 commission opportunity. Mr. Blouin’s quarterly commission payments were paid in twelve equal installments starting in February 2018 and concluding in January 2019. Mr. Blouin’s annual commission payment was paid in January 2019. In 2018, Mr. Ramade was eligible for €75,000 in commissions based on international capital and disposable revenue performance and international capital unit sales to the Company’s distributors in certain focus markets. Based on Mr. Ramade’s performance, he earned a total commission payout of €95,760, representing 128% of Mr. Ramade’s 2018 commission opportunity. Mr. Ramade’s commissions were paid on a quarterly basis. Mr. Ramade’s final commission payment for 2018 was paid in January 2019.

Agreements with our Named Executive Officers

We are party to an amended and restated employment agreement with Mr. Army, an employment agreement with Mr. Ramade, and an offer letter with Mr. Blouin. As described below, each of Messrs. Army, Ramade and Blouin has entered into a restrictive covenant agreement with us.

On October 17, 2018, in connection with our initial public offering, we amended and restated Mr. Army’s employment agreement. This amended and restated employment agreement provides for “at will” employment and has no specific term. Under the amended and restated employment agreement, Mr. Army is entitled to receive an annual base salary of $400,000 and he is eligible to receive an annual target bonus equal to 100% of his base salary as in effect at the beginning of the applicable calendar year, subject to, and payable in accordance with, the terms and conditions of the Company’s bonus plan, as in effect from time to time.

In the event Mr. Army’s employment with us is terminated by us other than for cause or he resigns his employment for good reason (as such terms are defined in the amended and restated employment agreement), provided Mr. Army timely executes a release of claims in favor of us and continues to comply with the restrictive covenants contained in his employment agreement related to our proprietary information and non-competition, non-solicitation, and non-disparagement, Mr. Army would be entitled to receive (i) continuing payments of his then-current annual base salary payable over 12 months, (ii) a prorated target bonus for the year of termination, payable over 12 months, and (iii) Company reimbursements for the difference between the monthly COBRA premium amount paid by Mr. Army for himself and his dependents and the monthly premium amount paid by similarly situated active executives for up to 12 months following termination. In addition to the above severance payments, in the event Mr. Army’s employment with us is terminated by us other than for cause or he resigns for good reason within the period beginning three months prior to and ending 12 months following a change in control (as defined in the amended and restated employment agreement), all of Mr. Army’s equity incentive awards that were outstanding immediately prior to the change in control will become vested and exercisable (with any outstanding performance-based awards vesting at target) and, if no such termination has occurred during that 12-month period, all of Mr. Army’s equity incentive awards that were outstanding immediately prior to the change in control will become vested and exercisable on the one-year anniversary of the change in control (with any outstanding performance-based awards vesting at target).

If any of the payments received or to be received by Mr. Army would constitute “parachute payments” within the meaning of Section 280G of the Code and would be subject to the related excise tax under Section 4999 of the Code, then Mr. Army would be entitled to receive either full payment of benefits or such lesser amount which would result in no portion of the benefits being subject to the excise tax, whichever results in the greater amount of after-tax benefits to him.

Mr. Army is also subject to restrictive covenants that include a prohibition on disclosing confidential information of ours during his employment with us and any time thereafter, a prohibition on soliciting our employees during his employment with us and for 12 months thereafter, and a non-competition provision during his employment with us and for 12 months thereafter.

On March 14, 2016 we entered into an employment agreement with Mr. Ramade. This employment agreement provides for “at will” employment and has no specific term. Under the employment agreement, Mr. Ramade is entitled to receive an “inconvenience allowance” related to the use of his home office in an amount of €7,200 per year as well as to participate in a variable commission program, with commissions payable on a quarterly basis. If Mr. Ramade should exceed the commission plan targets he would earn additional commissions in accordance with the conditions and method of calculations as detailed in the commission plan. In the case of a partial year, the amount will be prorated based upon days worked.

On December 8, 2017, we entered into an offer letter with Mr. Blouin. This offer letter provides for “at will” employment and has no specific term. Under the offer letter, Mr. Blouin is entitled to receive commission incentives.

We entered into restrictive covenant agreements with Mr. Army, in addition to the covenants contained in his amended and restated employment agreement with us, and each of Messrs. Ramade and Blouin. Each such agreement includes an invention assignment provision and a prohibition on disclosing confidential information of ours during the named executive officer’s employment with us and any time thereafter. The restrictive covenant agreements with each of Messrs. Ramade and Blouin also include a prohibition on soliciting our employees during the named executive officer’s employment with us and for one year thereafter, and a non-competition provision during the named executive officer’s employment with us and for one year thereafter.

Equity Compensation

Our named executive officers are eligible to receive equity-based compensation. Prior to our initial public offering, all equity awards were granted under our 2015 Stock Incentive Plan, or the 2015 Plan and, prior to adoption of our 2015 Plan, our 2005 Stock Incentive Plan, or the 2005 Plan. In connection with our initial public offering, our board of directors adopted, and our stockholders approved, our 2018 Equity Incentive Plan, or the 2018 Plan. Following its adoption, all equity-based awards have been granted under our 2018 Plan. For Mr. Ramade, equity-based awards have been granted under the France Subplan under our 2015 Plan or 2018 Plan, as applicable.

On January 17, 2018, Mr. Army was granted 110,360 shares of restricted stock and Mr. Blouin was granted 32,440 shares of restricted stock under our 2015 Plan. Mr. Army’s restricted stock was granted with performance-based vesting criteria whereby between 0% and 100% of the shares subject to the award (determined using straight line interpolation) is eligible to vest based on the Company’s achievement of certain worldwide revenue and gross margin goals for 2018, as measured on a weighted average basis, with 65% of the Company’s overall performance determined based on the achievement of the worldwide revenue goal and 35% based on the achievement of the worldwide gross margin goal. To the extent vested based on performance, the restricted stock is also subject to time-based vesting, with 25% of the shares of restricted stock eligible to vest on the first anniversary of the award grant date and the remainder eligible to vest in equal monthly installments thereafter over the next three years. Based on 2018 performance, and taking into account a discretionary adjustment made by our compensation committee, our compensation committee determined that 92.42% of the performance goals were achieved on a weighted average basis, resulting in a total of 101,995 restricted shares being earned and eligible to time-vest. Mr. Blouin’s restricted stock vests as to 25% on the first anniversary of the grant date and the remainder is eligible to vest in equal monthly installments thereafter over the next three years. In order to be able to vest in the award, the named executive officer must remain continuously employed

through the applicable vesting date, except that if the named executive officer’s employment is terminated due to his death or disability or there occurs a change in control (as defined under our 2015 Plan), 50% of the then-unvested and earned shares of restricted stock will vest.

On January 17, 2018, Mr. Blouin was granted an option to purchase 32,440 shares of our common stock. The option was granted with time-based vesting criteria whereby 25% is scheduled to vest on the first anniversary of the grant date and 1/36 of the remainder is scheduled to vest each month thereafter for the next three years. On July 18, 2018, Mr. Ramade was granted three options to purchase our common stock under the 2018 French Subplan to our 2015 Plan – an option to purchase 64,458 shares, an option to purchase 9,748 shares, and an option to purchase 16,444 shares. Mr. Ramade’s stock options were granted immediately following the establishment of the 2018 French Subplan and were granted in replacement of certain options that were originally granted under the 2015 Plan. Mr. Ramade’s option to purchase 16,444 shares was granted with time- and performance-based vesting criteria whereby between 0% and 100% of the shares subject to the award (determined using straight line interpolation) is eligible to vest based on the Company’s achievement of certain worldwide revenue and gross margin goals for 2018, as measured on a weighted average basis, with 65% of the Company’s overall performance determined based on the achievement of the worldwide revenue goal and 35% based on the achievement of the worldwide gross margin goal. With respect to 2018 performance, and taking into account a discretionary adjustment made by our compensation committee, our compensation committee determined that 92.42% of the performance goals were achieved on a weighted average basis, resulting in options to purchase 15,197 shares being earned. To the extent earned, 25% of this option was scheduled to vest on the first anniversary of the grant date and the remainder is scheduled to vest in equal monthly installments thereafter for the next three years. Mr. Ramade’s option to purchase 9,748 shares was granted with time-based vesting criteria, whereby 29% was scheduled to vest on October 18, 2018 and the remainder is scheduled to vest in monthly installments thereafter for the next three years. Mr. Ramade’s option to purchase 64,458 shares was granted with time-based vesting criteria whereby 45% was scheduled to vest on July 20, 2018 and the remainder is scheduled to vest in equal monthly installments for the next 22 months. In order to be able to vest in the award, the named executive officer must remain continuously employed through the applicable vesting date, except that if Mr. Ramade’s employment is terminated due to his death or disability or a change in control (as defined under our 2015 Plan) occurs, 50% of the then-unvested shares subject to his options to purchase 9,748 shares and 15,197 (granted as an option to purchase 16,444) shares will vest.

Severance and Change of Control Payments and Benefits

Each of our named executive officers is entitled to benefits under their restricted stock and/or stock option agreements upon a termination of employment upon certain circumstances or upon the occurrence of a change in control. These benefits are described under “Equity Compensation” above and “Outstanding Equity Awards at Fiscal-Year End Table” below. Mr. Army is also entitled to severance benefits under his employment agreement, as described above under “Agreements with our Named Executive Officers.” Under French labor law, Mr. Ramade is entitled to severance benefits that are due in all cases of termination of employment unless his employment is terminated for gross or severe misconduct. These benefits include a notice period that is presently equal to three months (but which could extend up to six months over time as Mr. Ramade ages and accrues additional service time with us) and a severance indemnity payment that is presently equal to 1/4 of his average monthly compensation (inclusive of salary, commissions, and benefits in kind) per year of service for the first seven years of service (i.e. in case of a qualifying termination prior to May 2023). If Mr. Ramade’s contract is terminated after seven years of service with us, then the severance benefits will be equal to (i) 1/5 of his monthly average compensation (inclusive of salary, commissions, and benefits in kind) for the first seven years and (ii) 3/5 of his average compensation for year eight and each additional year thereafter. Additionally, Vapotherm would be required to pay Mr. Ramade 60% of his prior monthly compensation for each month that Vapotherm wishes to enforce Mr. Ramade’s 12-month non-competition clause.

We currently provide broad-based health and welfare benefits that are available to all of our U.S. employees, including Messrs. Army and Blouin, including health, life, disability, vision, and dental insurance. In addition, we maintain a 401(k) retirement plan for our full-time U.S. employees. The 401(k) plan permits us to make discretionary employer contributions and in 2018 we made contributions in the amount of up to $1,000 per plan participant (or $500 for employees who earned over $50,000). Other than the 401(k) plan, we do not provide any qualified retirement or deferred compensation benefits to our employees, including our named executive officers.

With respect to Mr. Ramade, we currently contribute to state-mandated health, death, and disability insurance and pension schemes and arrangements, in each case, in accordance with French law.

No Tax Gross-Ups

We do not make gross-up payments to cover our named executive officers’ personal income taxes that may pertain to any of the compensation or perquisites paid or provided by us.

In connection with our initial public offering, our board of directors adopted a non-employee director compensation policy, which took effect on November 14, 2018.

Each non-employee director who is first elected to our board of directors will be granted an option to purchase 14,250 shares of our common stock, such option to vest in equal installments on each of the first three anniversaries of the grant date, subject to the non-employee director’s continued service through the applicable vesting date.

Commencing in 2019, on the date of the first meeting of our board of directors following each annual meeting of our stockholders, each non-employee director will be granted an option to purchase 9,500 shares of our common stock, such option to vest in full on the earlier of the first anniversary of the date of grant or the date of the following annual meeting of our stockholders, in each case, subject to the non-employee director’s continued service through the applicable vesting date. Notwithstanding the foregoing, any non-employee director who was first elected to our board of directors during the calendar year of such annual meeting will instead be granted a prorated option that will be calculated by multiplying 9,500 by a fraction, the numerator of which is the number of full months the non-employee director served on our board of directors during the calendar year prior to the annual meeting and the denominator of which is 12.

All options granted to our non-employee directors that are then-outstanding will vest in full upon the non-employee director’s death or a change in control.

All options granted to our non-employee directors have a per share exercise price equal to the fair market value of a share of our common stock on the date of grant and expire not later than 10 years after the date of grant. All cash retainers are paid quarterly, in arrears, or upon the earlier resignation or removal of the non-employee director.

Each non-employee director is also entitled to reimbursement for reasonable travel and other expenses incurred in connection with attending meetings of our board of directors and any committee on which he or she serves.

Registration Rights Agreement

We are party to a tenth amended and restated registration rights agreement, or the Registration Rights Agreement, with certain holders of our common stock, which includes holders of more than 5% of our capital stock and certain of our directors (or, in some cases, entities affiliated therewith). RATIFICATION OF THE APPOINTMENT OF INDEPENDENT REGISTERED PUBLIC ACCOUNTING FIRM

In accordance with its charter, the Audit Committee of our Board has selected the firm of Grant Thornton LLP, an independent registered public accounting firm, to be the Company’s auditors for the fiscal year ending December 31, 2019, and our Board is asking stockholders (on a non-binding advisory basis) to ratify that appointment. We are not required to have the stockholders ratify the selection of Grant Thornton LLP as our independent auditor. We nonetheless are doing so because we believe it is a matter of good corporate practice. If the stockholders do not ratify the selection, the Audit Committee will reconsider the retention of Grant Thornton LLP, but ultimately may decide to retain Grant Thornton LLP as the Company’s independent auditor. Even if the selection is ratified, the Audit Committee, in its discretion, may change the appointment at any time if it determines that such a change would be in the best interests of the Company and its stockholders.

Before selecting Grant Thornton LLP, the Audit Committee carefully considered that firm’s qualifications as an independent registered public accounting firm for the Company. This included a review of its performance in prior years, including the firm’s efficiency, integrity and competence in the fields of accounting and auditing.
