Item 5.07 Submission of Matters to a Vote of Security Holders
Cadence Bancorporation, a Delaware corporation (the Company) held its Annual Meeting of Stockholders (the Annual Meeting) on May 8, 2019. Stockholders holding 119,082,445 shares of the Companys Class A common stock, par value $0.01 per share (the Class A Common Stock), or 92.49%, of the 128,740,373 outstanding shares of Class A Common Stock as of the record date for the Annual Meeting, were present at the Annual Meeting or were represented by proxy. The Companys stockholders voted on four matters presented at the meeting, each of which is discussed in more detail in the Companys definitive proxy statement mailed to its stockholders on or about March 29, 2019, and which received the requisite number of votes to pass. The voting results on the proposals considered at the Annual Meeting are provided below.
