Item 5.07 Submission of Matters to a Vote of Security Holders
At the Portola Pharmaceuticals, Inc. (the Company) 2019 annual meeting of stockholders held on June 13, 2019, the stockholders voted on the three proposals listed below. The proposals are described in detail in the Companys definitive proxy statement for the 2019 annual meeting, filed with the Securities and Exchange Commission on April 22, 2019 (the Proxy Statement). The results of the matters voted upon at the meeting were:

Each of the Class III nominees of the Companys Board of Directors were elected to hold office until the Companys 2022 annual meeting of stockholders. The Class III nominees were: Laura Brege; 36,011,246 shares of Common Stock voted for, 9,880,751 withheld, and 14,901,449 broker non-votes; Scott Garland; 44,957,485 shares of Common Stock voted for, 934,638 withheld, and 14,901,449 broker non-votes; and Hollings Renton; 41,119,898 shares of Common Stock voted for, 4,772,225 withheld, and 14,901,449 broker non-votes. The terms of office of Class II directors Dennis Fenton and David Stump, M.D. continue until the Companys 2021 annual meeting of stockholders. The terms of office of Class I directors Jeffrey Bird, M.D., Ph.D, H. Ward Wolff and John Johnson continue until the Companys 2020 annual meeting of stockholders. |

The stockholders approved, on a non-binding, advisory basis, of the compensation of the Companys named executive officers as disclosed in the Proxy Statement: 44,603,756 shares of Common Stock voted for, 1,029,187 against, 259,180 abstaining, and 14,901,449 broker non-votes. |

The stockholders ratified the selection by the Audit Committee of the Companys Board of Directors of Ernst & Young LLP as the independent registered public accounting firm of the Company for its fiscal year ending December 31, 2019: 60,074,023 shares of Common Stock voted for, 560,936 against, 158,612 abstaining, and 0 broker non-votes. |
