Departures of Directors of Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 6, 2019, Jay Shepard notified the Board of Directors of Aravive, Inc. (the “Company”) of his intention to step down as the Company’s President, Chief Executive Officer and as a director of the Company for family medical reasons. The Board of Directors of the Company has commenced the process to select a successor. Mr. Shepard plans to continue to serve as the Company’s President and Chief Executive Officer and a member of the Board of Directors until a successor has been appointed.

A press release issued today announcing the foregoing is attached as Exhibit 99.1 to this Current Report on Form 8-K.

Aravive Announces Executive Management Transition Plan

CEO Jay Shepard to step down from his current role after a successor is appointed

HOUSTON, August 8, 2019 (GLOBE NEWSWIRE) — Aravive, Inc. (Nasdaq: ARAV), a clinical-stage biopharmaceutical company developing treatments designed to halt the progression of life-threatening diseases, including cancer and fibrosis, today announced that Jay Shepard intends to step down as President, Chief Executive Officer (CEO) and member of the Board of Directors for family medical reasons. The Board of Directors is commencing a search for his successor. Mr. Shepard plans to serve in his current role until a successor is appointed.
