On September 20, 2019, Constellation Pharmaceuticals, Inc. (the Company) drew an additional term loan advance of $10.0 million under its Loan and Security Agreement (the Loan Agreement) by and among the Company, the several banks and other financial institutions or entities from time to time parties thereto and Hercules Capital, Inc., in its capacity as administrative agent and collateral agent for itself and the Lenders.
As previously reported on the Companys Current Report on Form 8-K filed with the Securities and Exchange Commission (the SEC) on March 21, 2019 (the Prior 8-K), the Company entered into the Loan Agreement on March 20, 2019 and initially borrowed a $20.0 million term loan thereunder. Under the Loan Agreement, the Company had the right to request an additional term loan advance of up to $10.0 million on or prior to September 30, 2019. The Company now has total outstanding principal under the Loan Agreement of approximately $30.0 million.
Additional details regarding the Loan Agreement are contained in Item 1.01 of the Prior 8-K and the Companys Quarterly Reports on Form 10-Q for the periods ended March 31, 2019 and June 30, 2019 (the Quarterly Reports) and are incorporated herein by reference.
