Item 1.02

Termination of a Material Definitive Agreement.

In connection with Contango Oil & Gas Company’s (the “Company”) entry into a Credit Agreement, dated as of September 17, 2019, by and among the Company, JPMorgan Chase Bank, N.A., as Administrative Agent, and each of JPMorgan Chase Bank, N.A., Royal Bank of Canada and Cadence Bank, N.A., as joint bookrunners and the lenders from time to time party thereto, filed with the Securities and Exchange Commission on September 18, 2019, the Company terminated the Credit Agreement, dated as of October 1, 2013, among the Company, as borrower, Royal Bank of Canada, as administrative agent, and the lenders signatory thereto (as amended, the “Existing Credit Agreement”), and repaid all obligations and terminated the commitments thereunder in full.

Certain of the lenders and/or their affiliates to the Existing Credit Agreement have had, and may in the future have, investment banking, financial advisory and other commercial dealings with the Company and certain of the Company’s affiliates, for which such lenders or their affiliates have received and may in the future receive customary compensation.
