Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(c) Appointment of Principal Accounting Officer

On September 24, 2019, the Board of Directors of Entercom Communications Corp. (“Entercom” or the “Company”) appointed Elizabeth Bramowski to serve as the Company’s principal accounting officer. Ms. Bramowski, age 39, previously served as Vice President, Business Operations since June 2018. Ms. Bramowski began her career at PricewaterhouseCoopers LLP where she spent more than fifteen years within the organization’s Assurance Practice. Ms. Bramowski is a licensed certified public accountant in the Commonwealth of Pennsylvania and graduated with a B.S. in Accounting from LaSalle University.

There are no arrangements or understandings between Ms. Bramowski and any other persons pursuant to which she was named as principal accounting officer. There are no transactions between Ms. Bramowski and Entercom that would be reportable under Item 404(a) of Regulation S-K.
