Description of Registrant’s Securities to be Registered.

This registration statement on Form 8-A relates to the registration under Section 12(b) of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), of the common stock, no par value (the “Common Stock”), of Blue Ridge Bankshares, Inc. (the “Registrant”) in connection with the listing of the Common Stock on the NYSE American LLC.

The description of the Common Stock to be registered hereunder is contained under the caption “Description of Blue Ridge Capital Stock” in the Registrant’s registration statement on Form S-4, as amended (No. 333-233148), and is incorporated by reference herein and made a part hereof.
