Submission of Matters to a Vote of Security Holders |
On January 14, 2020, Mosaic Acquisition Corp. (Mosaic) reconvened and then adjourned, without conducting any business, the special meeting of stockholders (the Special Meeting) to be held in connection with Mosaics previously announced business combination (the Merger) with Vivint Smart Home, Inc. (Vivint), until January 17, 2020. The only proposal submitted to a vote of the stockholders was the approval of the adjournment of the Special Meeting to a later date or dates. The adjournment proposal is described in detail in Mosaics definitive proxy statement/consent solicitation statement/prospectus filed with the U.S. Securities and Exchange Commission (the SEC) and mailed to stockholders on December 27, 2019.
As of the close of business on November 19, 2019, the record date for the Special Meeting, there were an aggregate of 43,125,000 shares of Class A common stock, par value $0.0001 per share, and Class F common stock, par value $0.0001 per share (together, the Common Stock), outstanding, each of which was entitled to one vote with respect to the adjournment proposal. A total of 36,867,996 shares of Common Stock, representing approximately 85.49% of the outstanding shares of Common Stock entitled to vote, were present in person or by proxy, constituting a quorum.
