Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On March 26, 2020, David M. Maura notified Vivint Smart Home, Inc. (the “Company”) that he resigned from the Company’s Board of Directors (the “Board”), effective immediately, to focus on his other interests. Mr. Maura has been a member of the Board since October 2017.

Mr. Maura advised the Company that he is not resigning because of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
