EXPLANATORY NOTE

This Form 8-A/A is being filed by the registrant to amend its Registration Statement on Form 8-A filed with the Securities and Exchange Commission at 08:29:28 on November 13, 2020 solely to replace the incorrect reference to “Common Stock” with a reference to “Common Shares” as the title of the class to be registered on the facing page of the Form 8-A.
