ITEM 5.03.

Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

Effective May 5, 2021, Canadian Pacific Railway Limited (the “Company”) amended its Restated Certificate and Articles of Incorporation pursuant to the Canada Business Corporations Act to subdivide each of the issued and outstanding common shares of the Company (the “Common Shares”) on a five for one basis, such that each Common Share became five Common Shares. The Articles of Amendment are attached as Exhibit 3.1 to this Current Report on Form 8-K and are incorporated herein by reference.
