Description of Registrants Securities to be Registered. |
This Registration Statement relates to the registration under the Securities Exchange Act of 1934, as amended, of shares of the 7.875% Series D Cumulative Redeemable Preferred Stock, par value $0.001 per share (liquidation preference $25.00 per share) (the Series D Preferred Stock), of ACRES Commercial Realty Corp., a Maryland corporation (the Registrant). The description of the Series D Preferred Stock to be registered hereunder is set forth under the caption Description of the Series D Preferred Stock in the Registrants Prospectus Supplement dated as of May 14, 2021 relating to the Series D Preferred Stock (the Prospectus Supplement), and under the caption Description of Common Stock and Preferred Stock in the Registrants Base Prospectus dated April 20, 2021 (the Base Prospectus, and together with the Prospectus Supplement, the Prospectus), which forms a part of the Registrants Registration Statement on Form S-3 (No. 333-254315) filed with the Securities and Exchange Commission on March 16, 2021, which description is incorporated herein by reference.
