Item 5.03 | Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. |
On November 22, 2022, Digital World Acquisition Corp., a Delaware corporation (the “Company”), filed an amendment to the Company’s Amended and Restated Certificate of Incorporation with the Secretary of State of the State of Delaware (the “Extension Amendment”). The Extension Amendment extends, upon the request of ARC Global Investments II LLC (the “Sponsor”) and approval by the Company’s Board of Directors (the “Board”), the period of time for the Company to consummate an initial business combination up to four times, each by an additional three months, for an aggregate of 12 additional months (which is from September 8, 2022 up to September 8, 2023) or such earlier date as determined by the Board.
The foregoing description is qualified in its entirety by reference to the Extension Amendment, a copy of which is attached as Exhibit 3.1 hereto and is incorporated by reference herein.

On November 22, 2022, the Company held a special meeting of stockholders (the “Meeting”). At the Meeting, the Company’s stockholders approved the Extension Amendment extending, upon the request of the Sponsor and approval by the Board, the period of time for the Company to consummate an initial business combination up to four times, each by an additional three months, for an aggregate of 12 additional months (which is from September 8, 2022 up to September 8, 2023) or such earlier date as determined by the Board (the “Extension Amendment Proposal”).

Stockholders holding 5,658 shares of the Company’s Class A common stock exercised their right to redeem such shares for a pro rata portion of the funds in the Company’s trust account. As a result, $58,916 (approximately $10.41 per share) will be removed from the Company’s trust account to pay such holders.

CERTIFICATE OF INCORPORATION

DIGITAL WORLD ACQUISITION CORP.
Pursuant to Section 242 of the
Delaware General Corporation Law
DIGITAL WORLD ACQUISITION CORP. (the Corporation), a corporation organized and existing under the laws of the State of Delaware, does hereby certify as follows:
1. | The name of the Corporation is Digital World Acquisition Corp. The Corporations Certificate of Incorporation was filed in the office of the Secretary of State of the State of Delaware on December 11, 2020 (the Original Certificate). An Amended and Restated Certificate of Incorporation was filed in the office of the Secretary of State of the State of Delaware on September 2, 2021 (the Original Amended and Restated Certificate of Incorporation). A Certificate of Correction was filed in the office of the Secretary of State of the State of Delaware on May 18, 2022 to correct an inaccuracy of Section 9.1(c) of the Original Amended and Restated Certificate of Incorporation (the Amendment to the Amended and Restated Certificate of Incorporation). |
2. | This Amendment to the Amended and Restated Certificate of Incorporation amends the Amended and Restated Certificate of Incorporation of the Corporation. |
3. | This Amendment to the Amended and Restated Certificate of Incorporation was duly adopted by the affirmative vote of the holders of 65% of the stock entitled to vote at a meeting of stockholders in accordance with the provisions of Section 242 of the General Corporation Law of the State of Delaware (the DGCL). |
4. | The text of Section 9.1(b) of Article IX is hereby amended and restated to read in full as follows: |
(b) Immediately after the Offering, a certain amount of the net offering proceeds received by the Corporation in the Offering (including the proceeds of any exercise of the underwriters over-allotment option) and certain other amounts specified in the Corporations registration statement on Form S-1, as initially filed with the U.S. Securities and Exchange Commission (the SEC) on May 26, 2021, as amended (the Registration Statement), shall be deposited in a trust account (the Trust Account), established for the benefit of the Public Stockholders (as defined below) pursuant to a trust agreement described in the Registration Statement. Except for the withdrawal of interest to pay taxes (less up to $100,000 interest to pay dissolution expenses), none of the funds held in the Trust Account (including the interest earned on the funds held in the Trust Account) will be released from the Trust Account until the earliest to occur of (i) the completion of the initial Business Combination, (ii) the redemption of 100% of the Offering Shares (as defined below) if the Corporation is unable to complete its initial Business Combination within 12 months from the closing of the Offering (or, if the Office of the Delaware Division of Corporations shall not be open for business (including filing of corporate documents) on such date the next date upon which the Office of the Delaware Division of Corporations shall be open (or such a later date pursuant to the extension set forth under Section 9.1(c), the Deadline Date) and (iii) the redemption of shares in connection with a vote seeking (a) to modify the substance or timing of the Corporations obligation to provide for the redemption of the Offering Shares in

connection with an initial Business Combination or amendments to this Amended and Restated Certificate prior thereto or to redeem 100% of such shares if the Corporation has not consummated an initial Business Combination by the Deadline Date or (b) with respect to any other provisions relating to stockholders rights or pre-initial Business Combination activity (as described in Section 9.7). Holders of shares of Common Stock included as part of the units sold in the Offering (the Offering Shares) (whether such Offering Shares were purchased in the Offering or in the secondary market following the Offering and whether or not such holders are the Sponsor or officers or directors of the Corporation, or affiliates of any of the foregoing) are referred to herein as Public Stockholders.
5. | The text of Section 9.1(c) of Article IX is hereby amended and restated to read in full as follows: |
(c) In the event that the Corporation has not consummated an initial Business Combination within 12 months from the date of the closing of the Offering, upon the Sponsors request and approval by the Corporations board of directors, the Corporation may extend the period of time to consummate a Business Combination up to four times, each by an additional three months, for an aggregate of 12 additional months.

Digital World Acquisition Corp. Announces Voting Results of Special Meeting to Approve the Extension Amendment
Miami, FL, November 23, 2022 Digital World Acquisition Corp. (Nasdaq: DWAC) (Digital World or the Company) announced today that the Companys stockholders voted in favor of the proposal to amend its amended and restated certificate of incorporation (Extension Amendment) to extend the period of time available to complete a business combination, in three-month increments, until September 8, 2023 or such earlier date as determined by the Companys Board of Directors, at the special meeting of its stockholders that took place November 22, 2022 at 12:00 pm ET. The Extension Amendment was approved by a vote of approximately 98% of the shares of common stock voted, which represented approximately 66% of the outstanding shares of common stock on August 12, 2022, the record date. A Current Report on Form 8-K disclosing the full voting results will be filed with the Securities and Exchange Commission.
